Common use of Other Proceedings Clause in Contracts

Other Proceedings. No action, suit, investigation, bankruptcy or other proceeding (including, without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement or any transaction contemplated hereby or (ii) which, in any case, in the judgment of the Administrative Agent could reasonably be expected to result in a Material Adverse Change.

Other Proceedings. No action, suit, investigation, bankruptcy investigation or other proceeding (including, without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement or any transaction contemplated hereby or (ii) which, in any case, in the judgment of the Administrative Agent could reasonably be expected to result in a Material Adverse Change.

Other Proceedings. No action, suit, investigation, bankruptcy investigation or other proceeding (including, including without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement Agreement, any other Credit Document, or any transaction contemplated hereby or thereby or (ii) which, in any case, which in the judgment of the US Administrative Agent could reasonably be expected to result in a Material Adverse Change.

No action, suit, investigation, bankruptcy investigation or other proceeding (including, including without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement Agreement, any other credit agreement, or any transaction contemplated hereby or thereby or (ii) which, in any case, which in the reasonable judgment of the Administrative Agent could reasonably be expected to result in a Material Adverse Change.

No action, suit, investigation, bankruptcy investigation or other proceeding (including, without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement or any transaction contemplated hereby or (ii) which, in any case, in the judgment of the US Administrative Agent or the Canadian Administrative Agent, could reasonably be expected to result in a Material Adverse Change.

No action, suit, investigation, bankruptcy investigation or other proceeding (including, including without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending or, to Borrower’s knowledge, threatened, and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement Agreement, any other Credit Agreement, or any transaction contemplated hereby or thereby or (ii) which, in any case, which in the judgment of the Administrative Agent could reasonably be expected to result in a Material Adverse Change.

Other Proceedings. No action, suit, investigation, bankruptcy investigation or other proceeding (including, including without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be pending or, to the Borrower’s knowledge, threatened or pending and no preliminary or permanent injunction or order by a state or federal court shall have been entered (ia) in connection with this Agreement Agreement, any other Loan Document or any transaction contemplated hereby or thereby, or (iib) which, in any case, in the judgment of the Administrative Agent which could reasonably be expected to result in a Material Adverse ChangeEffect.

Other Proceedings. No action, suit, investigation, bankruptcy investigation or other proceeding (including, without limitation, the enactment or promulgation of a statute or rule) by or before any arbitrator or any Governmental Authority shall be threatened or pending or, to the knowledge of the Borrower, threatened, and no preliminary or permanent injunction or order by a state or federal court shall have been entered (i) in connection with this Agreement or any transaction contemplated hereby or (ii) which, in any case, in the judgment of the Administrative Agent Agent, could reasonably be expected to result in a Material Adverse Change.

Other Proceedings.
