Other Obligations and Services. The Adviser shall make its officers and employees available to the Board of Trustees and officers of the Trust for consultation and discussions regarding the administration and management of the Fund and its investment activities.

The Adviser shall keep its qualifications, facilities and staff fully adequate for performance of its duties hereunder, and will perform such duties in good faith and in the best interests of the Fund. The Adviser shall comply in all respects with applicable statutory and regulatory provisions, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940. The Adviser shall make available its officers and employees to the Board of Directors and officers of the Company for consultation and discussions regarding the administrative management of each Fund and its investment activities.
