Common use of Other Litigation Clause in Contracts

Other Litigation. Buyer represents and warrants to Seller that Buyer: (i) is not subject to any outstanding injunction, judgment, order, decree, ruling or charge, and (ii) is not a party or, to the knowledge of Buyer, is not threatened to be made a party to any action, suit, proceeding, hearing, or investigation of, in, or before any court or quasi-judicial or administrative agency of any federal, state, local, or foreign jurisdiction or before any arbitrator.

Other Litigation. Buyer Seller represents and warrants to Seller Buyer that BuyerSeller: (i) is not subject to any outstanding injunction, judgment, order, decree, ruling ruling, or chargecharge affecting the Businesses, and (ii) is not a party or, to the knowledge of BuyerSeller, is not threatened to be made a party to any action, suit, proceeding, hearing, or investigation affecting the Businesses of, in, or before any court or quasi-judicial or administrative agency of any federal, state, local, or foreign jurisdiction or before any arbitrator.
