Other Intangible Assets. The Business as carried on and conducted by Seller as a going concern, including any and all goodwill and similar intangible assets associated therewith, including but not limited to (except as otherwise set forth in this Agreement, including Sections 1.1(d) and 7.2), all claims, actions, deposits, prepayments, refunds, causes of action, rights of recovery, rights of set off, and rights of recoupment of any kind or nature relating to the Acquired Assets; and
