Other Contractual Rights. Nothing contained in this Article shall affect any right to indemnification to which Persons other than Trustees and officers of the Trust or any subsidiary thereof may be entitled by contract or otherwise.

Other Contractual Rights. The Company has not authorized, granted or issued (or agreed to authorize, grant or issue) any equity appreciation rights, phantom stock rights, profit _____________________________________________________________________________ participation or similar rights to any Person and no such rights are currently outstanding. There are no voting trusts, proxies or any other agreements or understandings (written or oral) with respect to the voting of the equity securities of the Company, except as otherwise provided in the Operating Agreement. Other than the Operating Agreement, there are no contracts or agreements respecting, preventing or limiting the issuance, redemption, sale, transfer, pledge or redemption of any of the Company’s equity securities or any securities convertible into or exercisable or exchangeable for equity securities of the Company. No Person has any right of first offer, right of first refusal or pre-emptive or similar rights with respect to any of the equity securities of the Company.
