OTHER CONSULTING SERVICES. During the first six months of the Consulting Period, the Company, in its sole discretion, may ask the Executive to continue working for the Company in such capacity as the Company shall determine. In consideration for any such services, the Company shall pay the Executive a consulting fee that is equal to a prorated portion of the Executive's salary and target bonus as in effect immediately prior to the Change in Control Date or the Executive's Involuntary Termination, as applicable.
OTHER CONSULTING SERVICES. Customer may contact NetBrain and purchase additional consulting services to aid in the setup and customization of Programs, upon mutually agreeable terms. NetBrain has no obligation to provide such consulting services to Customer unless agreed by both parties.
OTHER CONSULTING SERVICES. Except as provided in Section Seven B below, during the term of this Agreement, the Consultant may perform employment or consulting services for entities other than the Company, provided that the Consultant makes himself available to the Company on a reasonable basis, and any employment or consulting services provided to an entity other than the Company are performed at times when Consultant is not performing work for the Company.
OTHER CONSULTING SERVICES. RXi agrees that the Advisor may serve as a member of scientific advisory boards or in a similar capacity with, and provide consulting services to, other companies in scientific areas outside of the Field, provided that such service does not conflict or materially interfere with his Services hereunder.
OTHER CONSULTING SERVICES. CYRK and its subsidiaries (or any one of them) shall retain or employ Yucaipa as a financial advisor and/or consultant in connection with any acquisition or disposition transaction by CYRK or any of its subsidiaries, other than a sale of all of the outstanding capital stock of, or all or substantially all of the assets of CYRK. The parties expressly agree that the services contemplated by this Section 4 shall not include financial advisory or consulting services in connection with debt or equity financings. If any retention of Yucaipa by CYRK or any of its subsidiaries pursuant to this Section 4 is made pursuant to a retention or engagement agreement containing terms varying from or in addition to the terms contained in this Agreement, such agreement shall be reasonably acceptable to a majority of the members of the Board of Directors of CYRK, as the case may be, that are neither affiliates of Yucaipa nor designated or nominated to such Board of Directors by Yucaipa or any of its affiliates.

RXi agrees that the SAB Member may serve as a member of scientific advisory boards or in a similar capacity with, and provide consulting services to, other companies in scientific areas outside of the Field, provided that such service does not conflict or materially interfere with his Services hereunder. RXi further agrees that the SAB Member may serve as a member of scientific advisory boards or in a similar capacity with, and provide consulting services to, other companies in scientific areas within the Discovery Sub-Field (defined below), provided that such service does not conflict or materially interfere with his Services hereunder. For purposes hereof, the term “Discovery Sub-Field” shall mean that portion of the Field that includes the use of RNAi technology in, or the application of RNAi technology to, the discovery or identification of targets for therapeutic products for humans or animals. The SAB Member shall notify RXi in writing in advance of such service, provided that RXi shall hold all such information in confidence, and provided further that the SAB Member need not provide copies of any agreements with such other companies or any information relating to his compensation for such services. The restrictions set forth in this Section 14 shall not apply to the SAB Member’s relationship with Affiliated Institutions.
OTHER CONSULTING SERVICES. The Company, Dominick's and their respective subsidiaries (or any one of them) may retain or employ Yucaipa as a financial advisor and/or consultant in connection with any acquisition or disposition transaction by the Company, Dominick's or any of their respective subsidiaries, other than a sale of all of the outstanding capital stock of, or all or substantially all of the assets of, the Company or Dominick's. The parties expressly agree that the services contemplated by this Section 4 shall not include financial advisory or consulting services in connection with debt or equity financings or equipment lease arrangements. If any retention of Yucaipa by the Company, Dominick's or any of their respective subsidiaries pursuant to this Section 4 is made pursuant to a retention or engagement agreement containing terms varying from or in addition to the terms contained in this Agreement, such agreement shall be reasonably acceptable to a majority of the members of the Board of Directors of the Company or Dominick's, as the case may be, that are neither affiliates of Yucaipa nor designated or nominated to such Board of Directors by Yucaipa or any of its affiliates.
OTHER CONSULTING SERVICES. During the Term, without the prior written consent of Evil Empire, the Consultant will not be employed or engaged by or otherwise render services for or on behalf of another company engaged in the Field. Evil Empire agrees that the Consultant may serve as a member of advisory boards or in a similar capacity with, and provide consulting services to, other companies in areas outside of the Field, provided that such services do not conflict or materially interfere with his Services hereunder.
OTHER CONSULTING SERVICES. The parties agree that Symbollon shall provide Kushi with such other consulting services as Kushi may require, provided that such services are reasonable and the schedules of Symbollon’s personnel allow for such activities.

RXi agrees that the SAB Member may serve as a member of scientific advisory boards or in a similar capacity with, and provide consulting services to, other companies in scientific areas outside of the Field, provided that such service does not conflict or materially interfere with his Services hereunder. RXi further agrees that the SAB Member may serve as a member of scientific advisory boards or in a similar capacity with, and provide consulting services to, other companies in scientific areas within the Discovery Sub-Field (defined below), provided that such service does not conflict or materially interfere with his Services hereunder. For purposes hereof, the term “Discovery Sub-Field” shall mean that portion of the Field that includes the use of RNAi technology in, or the application of RNAi technology to, the discovery or identification of targets for therapeutic products for humans or animals. RXi further agrees that the SAB Member shall be entitled to provide consulting services to Shuanglian Therapeutics within the Field; provided, however, that such consent by RXi may be withdrawn at any time, upon not less than 30 days written notice to the SAB Member, that RXi determines, in its reasonable judgment, that such company is engaging in substantial business activities in the Field outside of China and that such activities are reasonably likely to be competitive with the activities of RXi. The SAB Member shall notify RXi in writing in advance of such service, provided that RXi shall hold all such information in confidence, and provided further that the SAB Member need not provide copies of any agreements with such other companies or any information relating to his compensation for such services. The restrictions set forth in this Section 14 shall not apply to the SAB Member’s relationship with the Institute or other Affiliated Institutions.
