OTHER CONSULTING FEES. CYRK shall pay to Yucaipa a cash fee for providing any financial advisory or consulting services pursuant to Section 4 above in connection with the acquisition or disposition transactions specified therein, equal to one percent (1.0%) of the amount or value of all cash and noncash consideration actually paid or received (including assumed indebtedness) by CYRK or any of its subsidiaries, as the case may be, in connection therewith.

OTHER CONSULTING FEES. The Company or Dominick's, as applicable, shall pay to Yucaipa a cash fee for providing any financial advisory or consulting services pursuant to Section 4 above in connection with the acquisition or disposition transactions specified therein (other than disposition transactions with respect to any stores designated for divestiture or closing in the ordinary course of business), equal to one percent (1.0%) of the amount or value of all cash and noncash consideration actually paid or received (including assumed indebtedness) by the Company, Dominick's or any of their respective subsidiaries, as the case may be, in connection therewith.

  • Consulting Fees The Consultant shall be entitled to receive a consulting fee of fifty thousand dollars ($50,000) per year, which shall be payable in quarterly payments of $12,500 per quarter. Payments shall be made on the first day of each quarter, with a payment due on the Effective Time equal to $12,500 pro rated by the number of days remaining in the quarter over the full number of days in that quarter. Consultant shall be responsible for all tax payments owed in connection with the compensation provided for hereunder, and Company shall not withhold any such tax payments from the quarterly consulting fees.

  • Consulting Fee In consideration of HERE’s services, REGENT agrees to pay HERE a consulting fee of US$200,250 (“Consulting Fee”) which shall be paid according to the following schedule upon HERE submitting invoices for its services to REGENT:

In addition, Executive shall not be entitled to any other benefits including, without limitation, such group medical, life and disability insurance and other benefits as may be provided to employees and/or executives of MediciNova.

  • Annual Fees Tiered Fee Schedule for Premier Wealth Tactical, Premier Wealth Tactical Core, ETF Sector Rotation, Tactical Opportunity, Equity Growth and Value, Equity Growth Opportunity, Equity Dividend Income, and all Premier Wealth Tactical Core/ ETF Sector Rotation Strategies (also known as Xxxxxxxxx Moderate, Xxxxxxxxx Moderately Aggressive, or Xxxxxxxxx Aggressive):

  • Consulting Period The consulting relationship will be deemed to commence on the day after the Separation Date and will continue for a period of three (3) months (i.e., until June 30, 2019), unless terminated earlier pursuant to Paragraph 4(h) below or extended by agreement of you and the Company (the “Consulting Period”). Any agreement to extend the Consulting Period after the initial period must be set forth in writing signed by you and the CEO or a duly authorized member of the Board of Directors of the Company.

  • Other Compensation Unless otherwise stated, this Agreement does not include the Agent’s service of preparing the Property for sale or refinance, modernization, fire or major damage restoration, rehabilitation, financial accounting or legal advice, representation before public agencies, advising on proposed new construction, debt collection, counseling, attending any Association or Condominium meetings, and any other obligation not listed as a Service.   • Consulting Arrangement The Company hereby engages Consultant as an independent contractor and not as an employee, to render consulting services to Xxxxxxxx.xxx, Inc. only and to no other company as hereinafter provided; this agreement is based on clear acknowledgement that ALL services are solely for XxxxXxxx.xxx, Inc. and the implementation of its corporate and business plans alone. Services therefore remain very focused and DO NOT need to address the many Corporate Consolidation Issues under prior proposals. The Company hereby acknowledges and agrees that Consultant may engage directly or indirectly in other businesses and ventures and shall not be required to perform any services under this Agreement when, or for such periods in which, the rendering of such services shall unduly interfere with such other businesses and ventures, providing that such undertakings do not completely preempt Consultant's availability during the term of this Agreement. Neither Consultant nor his employees will be considered by reason of the provisions of this Agreement or otherwise as being an employee of the Company or as being entitled to participate in any health insurance, medical, pension, bonus or similar employee benefit plans sponsored by the Company for its employees. Consultant shall report all earnings under this Agreement in the manner appropriate to its status as an independent contractor and shall file all necessary reports and pay all taxes with respect to such payments.
