Other Bonus Arrangements. Following the Closing, the Purchaser and the Company shall establish a bonus pool (the amount of which shall be determined by Xxxx Xxxxxxxx, Xxxxx Xxxxxxxx, Xxxxxx X. Xxxxx, Xx. and Xxxxxx X. Xxxxxxx) for employees of the Company in respect of the fiscal years ending December 31, 2008 and December 31, 2009. The distribution of funds from such bonus pool shall be determined by Messrs. Xxxxx and Xxxxxxx (except as to amounts thereof for which each of them shall be eligible, which shall be determined by Messrs. Sauickie and Xxxxxxxx).

  • Compensation Arrangements (a) Following receipt of an RoU Claim Notice in respect of a Type 3 Restriction of Use, Network Rail and the Train Operator shall (if they have not already done so) commence negotiations in respect of the RoU Liability compensation to be paid by one party to the other in respect of the Type 3 Restriction of Use and, subject to paragraph 10, shall continue such negotiations in good faith until they are concluded.

  • Equity Incentive Compensation During the term of employment hereunder the Executive shall be eligible to participate, in an appropriate manner relative to other senior executives of the Parent and its subsidiaries, in any equity-based incentive compensation plan or program approved by the Board from time to time, including (but not by way of limitation) any plan providing for the granting of (a) options to purchase stock of the Parent, (b) restricted stock of the Parent or (c) similar equity-based units or interests.

  • Bonus Payments In addition to Base Salary, Executive shall be entitled, during the Employment Term, to participate in and receive payments from all bonus and other incentive compensation plans (as currently in effect, as modified from time to time, or as subsequently adopted) of the Company; provided, however, that nothing contained herein shall grant Executive the right to continue in any bonus or other incentive compensation plan following its discontinuance by the Board (except to the extent Executive had earned or otherwise accumulated vested rights therein prior to such discontinuance).
