Common use of Original Development Clause in Contracts

Original Development. Consultant represents, warrants and covenants that (i) during Company's retention of Consultant, Consultant will not disclose to Company, or use, or induce Company to use, any confidential, proprietary or trade secret information of others; and (ii) performance of the terms of this Agreement will not breach any obligation of Consultant to keep any information or materials in confidence or in trust prior to being retained by Company.
