Common use of Original Development Clause in Contracts

Original Development. Consultant represents, warrants and covenants that (i) during Company's retention of Consultant, Consultant will not disclose to Company, or use, or induce Company to use, any confidential, proprietary or trade secret information of others; and (ii) performance of the terms of this Agreement will not breach any obligation of Consultant to keep any information or materials in confidence or in trust prior to being retained by Company.

Original Development. (a) Consultant represents, represents and warrants and covenants that (i) during the Company's retention of Consultant, Consultant will not disclose to the Company, or use, or induce the Company to use, any confidential, proprietary or trade secret information of others; others and (ii) performance no confidential, proprietary or trade secret information belonging to any prior employers or clients has been or will be used in connection with rendering any of the terms of this Agreement will not breach any obligation of Consultant to keep any information or materials in confidence or in trust prior to being retained by CompanyServices hereunder.
