Organizational Hierarchy. Customer will be using an Organizational Hierarchy structure to organize data in relation to the modules included in RiskConsole Express. The Customer will manually enter the Organizational Hierarchy, and keep it updated. The Organizational Hierarchy structure must meet Aon guidelines.  Hierarchy cannot contain more than 15 levels  Organizations may not be duplicated within the hierarchy  Organizations may not be more than 50 characters in length  An organization may only roll up to one (1) parent Note: Spreadsheet Import is not available for loading new organization into the hierarchy. Spreadsheet Update is not available to move existing locations within the hierarchy. Occurrence Module RiskConsole’s Occurrence Module relates all claims associated with an event or accident. RiskConsole has a flag on the claim record that denotes if a claim is the lead claim for the occurrence. There may only be one lead claim on the occurrence. This allows for reporting at an occurrence or claim level.

Organizational Hierarchy. From and after the Closing, Mxxxxxxx Xxxxxx and Pxxx Xxxxxxxx shall retain operational control of IPS and its staffing, business model, operations and sales efforts consistent with past practices, subject only to the oversight and direction of Buyer’s Chief Executive Officer, Chief Financial Officer and Board of Directors.

The day-to-day operation of the ISO will be managed by a President, who will serve as an ex-officio member of the ISO Board, in accordance with Article 5 herein. There shall be a Management Committee as per Article 7 herein, which shall report to the ISO Board, and shall be comprised of all Parties to the Agreement. There shall be at least two additional standing committees, the Operating Committee, as provided for in Article 8, and the Business Issues Committee, as provided for in Article 9, both of which shall report to the Management Committee. A Dispute Resolution Process will be established and administered by the ISO Board in accordance with Article 10.

  • Organizational Rights CSEA shall have the following rights in addition to the rights contained in any other portion of this Agreement:

  • Organizational Status The Borrower is validly organized and existing and in good standing under the laws of the state or jurisdiction of its incorporation or organization, is duly qualified to do business and is in good standing as a foreign entity in each jurisdiction where the nature of its business requires such qualification (except where the failure to be so qualified would not reasonably be expected to result in a Material Adverse Effect), and has full power and authority and holds all requisite governmental licenses, permits and other approvals to enter into and perform its obligations under this Agreement, to own and hold under lease its property and to conduct its business substantially as currently conducted by it.

  • Organizational Power; Authorization The execution, delivery and performance by each Loan Party of the Loan Documents to which it is a party are within such Loan Party’s organizational powers and have been duly authorized by all necessary organizational, and if required, shareholder, partner or member, action. This Agreement has been duly executed and delivered by the Borrower, and constitutes, and each other Loan Document to which any Loan Party is a party, when executed and delivered by such Loan Party, will constitute, valid and binding obligations of the Borrower or such Loan Party (as the case may be), enforceable against it in accordance with their respective terms, except as may be limited by applicable bankruptcy, insolvency, reorganization, moratorium, or similar laws affecting the enforcement of creditors’ rights generally and by general principles of equity.
