Common use of Organisation Clause in Contracts

Organisation. It is a corporation duly organised under the laws of England with full corporate power, authority and legal right to own its assets and conduct its business as such assets are presently owned and its business is presently conducted and with power to enter into this Agreement and other Relevant Documents and each assignment to be entered into by it in respect of any Receivables assigned or scheduled to be assigned and to exercise its rights and perform its obligations thereunder and all corporate and other action required to authorise its execution of each Relevant Document and each such assignment and its performance of its obligations thereunder has been duly taken or will be taken prior to the execution of such Relevant Document or assignment (as the case may be).
