Organisation; Qualification at the time of the transfer of the Assets, is a wholly foreign owned company duly organised and validly existing as a legal person under the laws of PRC with its registered address set forth in the front part of this Agreement.
Organisation; Qualification. 1.1 The Seller is duly incorporated, validly existing and in good standing (where applicable) under the laws of the jurisdiction of its incorporation. The Seller has the requisite capacity, power and authority to enter into and perform its obligations under this Agreement and each other Transaction Document to which it is a party.
Organisation; Qualification. Tvia is a legal person duly organised and validly existing under the laws of PRC with its registered address set forth in the front part of this Agreement. The copies of the business license of Tvia already delivered to MediaTek are complete and correct copies of such documents as presently in effect.
Organisation; Qualification. The Company is a company duly incorporated, validly existing and in good standing under the laws of England and Wales and has all requisite corporate power and authority to carry on its business as now conducted. The Company has at all times complied with all provisions of its articles of association (the “Articles”) and is not in default under, or in violation of, any such provision of the Articles. The Company is not, and has never been, a “shell company,” as described in paragraphs (i)(1)(i) and (ii) of Rule 144 promulgated under the Securities Act.
