Orders After Termination Notice. For all orders submitted by Distributor after notice of termination, or a notice of default, but prior to the actual effective date of the termination, the provisions of this Section 10(d) shall apply.

In the event that any notice of termination of this Agreement is given by either party, Tekelec will be entitled to reject all or part of any orders received from Distributor after such notice but prior to the Termination Date if availability of Products is insufficient at that time to meet the needs of Tekelec and its customers fully. In any case, Tekelec may limit monthly shipments to Distributor during said period to Distributor's average monthly shipments from Tekelec during the three (3) months prior to the date of notice of termination. Notwithstanding any credit terms made available to Distributor prior to such notice, any Transmeta Products shipped thereafter shall be paid for by certified or cashier's check prior to shipment.
Orders After Termination Notice. Upon any expiration or termination of this Agreement, any orders outstanding and unshipped as of the expiration or termination date shall be filled by Seller in accordance with this Agreement. After any notice of termination of this Agreement is given, Seller will be entitled (during any period allowed for cure) to reject all or part of any orders received from Purchaser after notice but prior to the effective date of termination. Notwithstanding any credit terms made available to Purchaser prior to that time, any order that Seller elects to fill after notice of termination is given shall be paid for by certified or cashier’s check prior to shipment.

Orders After Termination Notice. In the event that any notice or termination of this Agreement is given in accordance with this Section, Harlxxx xxxl continue to process any Customer Orders received by Harlxxx xxxor to the effective date of termination; provided that in the event of a dispute regarding nonpayment by Intuit, Intuit deposits the disputed amount in an interest bearing escrow account with a commercial bank and provides written notice of same to Harlxxx.
