Option Scheme Consideration. YM undertakes and warrants to Cytopia (in Cytopia’s own right and separately as trustee or nominee for each of the Scheme Optionholders) that, in consideration of the cancellation of each Cytopia Option held by a Scheme Optionholder at the Record Date under the terms of the Option Scheme, YM will, on the Implementation Date, provide or procure the provision of the Option Scheme Consideration in accordance with the Option Scheme.
Option Scheme Consideration if the Option Scheme becomes Effective, grant the YM Options that comprise the Option Scheme Consideration in accordance with the Deed Poll on the Implementation Date;
Option Scheme Consideration. BTR covenants in favour of KWR (in its own right and on behalf of the Scheme Optionholders) that in consideration for the cancellation of the KWR Options held by a Scheme Optionholder under the terms of the Option Scheme, BTR will grant to each Scheme Optionholder the Option Scheme Consideration in accordance with the terms of this Deed and the Option Scheme.
Option Scheme Consideration. (a) Subject to clause 5.7, Red Light undertakes and warrants to Creso (in its own right and on behalf of each Option Scheme Participant) that in consideration of the transfer to Red Light of each Scheme Option held by an Option Scheme Participant under the terms of the Option Scheme, Red Light will on the Implementation Date:
Option Scheme Consideration. On the Implementation Date, Incannex must procure US Holdco to issue the Option Scheme Consideration to the Option Scheme Participants in accordance with clause 6.3 of this Option Scheme.

(a) URI covenants in favour of Anatolia, in consideration for the cancellation of the Scheme Options held by each Scheme Optionholder under the terms of the Option Scheme, to provide or procure provision of the Option Scheme Consideration to each Scheme Optionholder on the Implementation Date and otherwise in accordance with the Option Scheme.
Option Scheme Consideration. (a) HUB24 covenants in favour of Xplore (in Xplore's own right and separately as trustee for each Scheme Optionholder) that, in consideration of the cancellation of each Scheme Options under the terms of the Option Scheme, on the Implementation Date, HUB24 will pay each Scheme Optionholder the Option Scheme Consideration in accordance with the Option Scheme.
Option Scheme Consideration. 18.1 Satisfaction of payment obligation BidCo will, before 12.00 noon on the Implementation Date, deposit in cleared funds the aggregate Option Scheme Consideration payable to all Scheme Optionholders into Canadian dollar denominated account nominated by Talison (the details of which must be notified by Talison or a depositary appointed by Talison to BidCo not less than 5 Business Days prior to the Implementation Date), such amount to be held on trust by Talison for the Scheme Optionholders (except that any interest on the amount will be for the account of BidCo).
Option Scheme Consideration. (a) Subject to clause 4.2(b), Entrée covenants in favour of PacMag (in its own right and on behalf of the Optionholder Scheme Participants) that in consideration for the cancellation of each Scheme Option held by an Option Scheme Participant under the terms of the Option Scheme, Entrée will provide to each Option Scheme Participant the Option Scheme Consideration for each PacMag Option held at the Record Date.
