Opportunity to Seek Counsel. The parties represent that they have had an opportunity to retain legal counsel to represent them in connection with this matter, that they have been advised of the legal effect and consequences of this Agreement, that they have entered into this Agreement knowingly, freely and voluntarily of their own volition, and that they have not been coerced, forced, harassed, threatened or otherwise unduly pressured to enter into this Agreement.
Opportunity to Seek Counsel. The Merchant agrees that it had the opportunity to seek and was not prevented nor discouraged by the Servicers from seeking independent legal advice prior to the execution and delivery of this Agreement and that in the event that Merchant did not avail itself of that opportunity prior to the signing of this Agreement, Merchant did so voluntarily without any undue pressure and agrees that Merchant’s failure to obtain independent legal advice shall not be used by Merchant as a defense to the enforcement of its obligations under this Agreement.
Opportunity to Seek Counsel. The Purchaser has (a) had an opportunity to review and consider this Agreement before signing it, (b) been strongly encouraged to consult with its own attorney(s) and confidential advisors before signing this Agreement, and (c) read and understood all of the terms and provisions of this Agreement.
Opportunity to Seek Counsel. Employee acknowledges by signing this Agreement that he has read and understands this document, that he has conferred with or had the opportunity to confer with an attorney of his choice regarding the terms and meaning of this Agreement, that he has had sufficient time to consider the terms provided for in this Agreement, that no representations or inducements have been made to him as set forth herein, and that he has signed the same KNOWINGLY AND VOLUNTARILY.
Opportunity to Seek Counsel. Seller has (a) had an opportunity to review and consider this Agreement before signing it, (b) been strongly encouraged to consult with its own attorney(s) and confidential advisors before signing this Agreement, and (c) read and understood all of the terms and provisions of this Agreement.
Opportunity to Seek Counsel. Each of the parties acknowledges that it had the right and opportunity to seek independent legal counsel of its own choosing in connection with the execution of this Agreement, and each of the parties represents that it has either done so or that it has voluntarily declined to do so, free from coercion, duress or fraud.

The Restricted Person acknowledges and agrees that he has had adequate opportunity to consult with counsel of his own choosing prior to entering into this Agreement, and that Proskauer Rose LLP represented GNL, in connection with the negotiation and preparation of this Agreement and the transactions contemplated by the Merger Agreement, and has not provided any legal advice to the Restricted Person in connection with this Agreement or the transactions contemplated hereby or by the Merger Agreement.
Opportunity to Seek Counsel. (Volunteer) has been afforded the opportunity to read, reflect upon, and consider the terms of the agreement; has been afforded the opportunity to discuss this agreement with an attorney or other adviser, and has read this entire agreement, fully understands its terms, and has voluntarily executed this agreement.
Opportunity to Seek Counsel. Xxxxxx acknowledges by signing this Agreement that he has read and understands this document, that he has conferred with or had the opportunity to confer with an attorney of his choice regarding the terms and meaning of this Agreement, that he has had sufficient time to consider the terms provided for in this Agreement, that no representations or inducements have been made to him as set forth herein, and that he has signed the same KNOWINGLY AND VOLUNTARILY.
Opportunity to Seek Counsel. Xxxx specifically agrees to pay such attorney’s fees as Xxxxxx incurs relative to her seeking and obtaining all legal advice which she wishes prior to the execution of this Agreement, and Xxxxxx may and is urged to seek advice from any attorney of her sole choosing before executing this Agreement. Except as stated herein, Xxxx shall have no obligation to contribute to any attorney fees hereafter incurred by Xxxxxx.
