Opinion of the Bank. The Bank shall have furnished to you, as Representatives of the Underwriters, the opinion, addressed to the Underwriters and dated the Closing Date, of the Bank, acting through its Legal Directorate, which opinion may be given in reliance on opinions of other counsel satisfactory to you and in particular, with respect to matters of the law of the United States or any state thereof, may be given in reliance on the opinion of Cravath, Swaine & Xxxxx LLP referred to in Section 12(c), to the effect that:

Opinion of the Bank. The Bank shall have furnished to you, as Representatives of the Underwriters, the opinion, addressed to the Underwriters and dated the Closing Date, of the Bank, acting through its Office of the General Counsel, which opinion shall be satisfactory in form and substance to the Underwriters.
Opinion of the Bank. Notwithstanding anything herein contained, the opinion of the Bank as to the determination of any of the matters set out in this Agreement, the Transaction Documents and/or the Security Documents and a written statement of the Bank as to the amount due and payable to the Bank at any time and all other matters referred to in this Agreement, shall be conclusive and binding on the Customer and shall not in the absence of manifest error be questioned on any account whatsoever. Any determination or notification by the Bank concerning any Indebtedness, in the absence of manifest error, shall be conclusive evidence as to the matter and shall be binding on the Customer.

Counsel rendering any such opinion may rely, without independent investigation, on the accuracy and validity of any certificate or other instrument delivered to the Indenture Trustee in connection with any such action.
