Opinion of General Counsel. The General Counsel for the Company, Xxxxxxx X. Xxxxxx, Xx., shall have shall have furnished to the Representatives a written opinion, dated the Closing Date or Additional Closing Date, as the case may be, addressed to the Underwriters, in the form in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-4 hereto
Opinion of General Counsel. On each Closing Date, there shall have been furnished to you, as Representatives of the several Underwriters, the opinion of Xxxxx Way, General counsel for the Company, dated such Closing Date and addressed to you in substantially the form attached hereto as Exhibit F.
Opinion of General Counsel. Xxxxxx X. Xxxxx, Senior Vice President, General Counsel and Corporate Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Initial Purchasers, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E hereto.
Opinion of General Counsel. At Closing Time, the Representatives shall have received an opinion, dated as of Closing Time, of Xxxxx X. Xxxxx, Esq., Senior Vice President, General Counsel and Secretary of the Company, in form and substance reasonably satisfactory to the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of General Counsel. (i) Each of the Partnership, the Operating Partnership, MPL LP, MTH LP, MPH LP, MAP LP and MAS LP has been duly formed and is validly existing as a limited partnership under the Delaware LP Act, is duly registered or qualified to do business and is in good standing as a foreign limited partnership under the laws of the jurisdictions set forth on Annex 2 to this Agreement, and to such counsel’s knowledge, such jurisdictions are the only jurisdictions in which its ownership or lease of property or the conduct of business requires such qualification, except where the failure to so register or so qualify would not (A) have a material adverse effect on the condition (financial or other), business, assets or results of operations of the Partnership Group, taken as a whole, or (B) subject the limited partners of the Partnership to any material liability or disability; and each such partnership has all requisite partnership power and authority necessary to own or hold its properties and assets and to conduct the businesses in which it is engaged.
Opinion of General Counsel. The Representatives shall have received an opinion, dated such Closing Date, of Xxxx X Xxxxx, general counsel of the Company, in form and substance reasonably acceptable to the Representatives.
Opinion of General Counsel. At each Representation Date, the Partnership shall furnish or cause to be furnished forthwith to the Managers (or, in the case of a Representation Date of the type described in Section 4(l)(iii), the relevant Manager party to the Terms Agreement) a written opinion of the general counsel for GP LLC (“General Counsel”), dated as of the Representation Date, in form and substance satisfactory to the Managers (or, in the case of a Representation Date of the type described in Section 4(l)(iii), the relevant Manager party to the Terms Agreement), of the same tenor as the opinion referred to in Section 6(d) hereof, but modified as necessary to relate to the Registration Statement and the Prospectus, in each case, as amended and supplemented to the time of delivery of such opinion.
Opinion of General Counsel. The Agent shall have received the favorable opinions of in-house counsel for the Company, the Operating Partnership and the Advisor, required to be delivered pursuant to Section 7(s) on or before the date on which such delivery of such opinion is required pursuant to Section 7(s).
Opinion of General Counsel. The Representatives shall have received an opinion, addressed to the Underwriters, dated as of the Closing Date, of Xxxxxxx X. Xxxxx, Esq., General Counsel of the Company, substantially in the form attached hereto as Exhibit B.
Opinion of General Counsel. The Underwriters shall have received an opinion, dated such Closing Date, of Exxx von Estorff, Vice President, General Counsel and Secretary of the Company, in form and substance set forth on Exhibit C hereto.
