Common use of O&M Manual Clause in Contracts

O&M Manual. (a) The Concessionaire shall prepare a detailed O&M Manual for the STP Facilities based on the Proposed Technology and in accordance with the Technical Specifications, the ESHS Documents, Applicable Laws and Applicable Permits. The O&M Manual shall specify the operation procedures (separately for each component of the STP Facilities) and maintenance procedures. If there any errors or deficiencies in the Technical Specifications, the O&M Manual shall take in account, address or rectify such errors or deficiencies. The Language for O &M Manual shall be English. (b) At least 30 days prior to the Scheduled STP Construction Completion Date, the Concessionaire shall submit 4 hard copies and 1 soft copy on a compact disc of the draft O&M Manual to BUIDCO for its review and approval. (c) BUIDCO shall review and provide comments, if any, on the draft O&M Manual to the Concessionaire or notify the Concessionaire of its approval of the draft O&M Manual within 20 days from the date of receipt of the draft O&M Manual from the Concessionaire. BUIDCO may require the Concessionaire to amend or modify the draft O&M Manual if BUIDCO identifies any deficiencies, inaccuracies or shortcomings in the draft O&M Manual. If the Concessionaire receives any comments, suggestions or instructions to modify the draft O&M Manual from BUIDCO, then the Concessionaire shall modify the draft O&M Manual to correct any shortcomings, inaccuracies or deficiencies identified by BUIDCO and/or address, in writing, BUIDCO's comments on the draft O&M Manual and submit the revised O&M Manual to BUIDCO for its approval. The process set out in this Clause 8.2(c) shall continue until the O&M Manual is approved by BUIDCO in accordance with this Clause 8.2(c). (d) The Concessionaire shall revise the O&M Manual as and when the Concessionaire thinks it necessary to do so and in such case the provisions of Clause 8.2(c) will apply as is to the approval of the revised manual. (e) The Concessionaire shall undertake the O&M of the STP Facilities strictly in accordance with the approved O&M Manual. The Concessionaire shall not deviate from or make any amendment to the approved O&M Manual without the prior written approval of BUIDCO. The Concessionaire shall not commence operation of the STP Facilities prior to approval of the O&M Manual in accordance with this Clause 8.2. (f) Notwithstanding any approval of the O&M Manual by BUIDCO, the Concessionaire shall bear all risk, responsibility and liability for the suitability, accuracy, adequacy and practicality of the O&M Manual. The Concessionaire shall not be entitled to any extension of time and/or costs incurred in the preparation of or updating the O&M Manual and complying with the requirements of this Clause 8.2. (g) The Concessionaire shall submit separate O&M Manuals for the Digha STP Facilities and the Kankarbagh STP Facilities.

BUIDCO The Executive Agency may require the Concessionaire to amend or modify the draft O&M Manual if BUIDCO the Executive Agency identifies any deficiencies, inaccuracies or shortcomings in the draft O&M Manual. If the Concessionaire receives any comments, suggestions or instructions to modify the draft O&M Manual from BUIDCOthe Executive Agency, then the Concessionaire shall modify the draft O&M Manual to correct any shortcomings, inaccuracies or deficiencies identified by BUIDCO the Executive Agency and/or address, in writing, BUIDCOthe Executive Agency's comments on the draft O&M Manual and submit the revised O&M Manual to BUIDCO the Executive Agency within 10 days of having received the Executive Agency’s response, for its approval. The process set out in this Clause 8.2(c) shall continue until the O&M Manual is approved by BUIDCO the Executive Agency in accordance with this Clause 8.2(c). (d) The Concessionaire shall revise the O&M Manual as and when the Concessionaire thinks it necessary to do so and in such case the provisions of Clause 8.2(c) will apply as is to the approval of the revised manual. (e) The Concessionaire shall undertake the O&M of the STP Facilities strictly in accordance with the approved O&M Manual. The Concessionaire shall not deviate from or make any amendment to the approved O&M Manual without the prior written approval of BUIDCOthe Executive Agency. The Concessionaire shall not commence operation of the STP Facilities prior to approval of the O&M Manual in accordance with this Clause 8.2. (f) Notwithstanding any approval of the O&M Manual by BUIDCOthe Executive Agency, the Concessionaire shall bear all risk, responsibility and liability for the suitability, accuracy, adequacy and practicality of the O&M Manual. The Concessionaire shall not be entitled to any extension of time and/or costs incurred in the preparation of or updating the O&M Manual and complying with the requirements of this Clause 8.2. (g) The Concessionaire shall submit separate a consolidated O&M Manuals Manual for the Digha STP Farrukhabad Facilities and the Kankarbagh STP Fatehgarh Facilities.

(f) Notwithstanding any approval of the O&M Manual by BUIDCOthe Jal ▇▇▇▇▇, the Concessionaire shall bear all risk, responsibility and liability for the suitability, accuracy, adequacy and practicality of the O&M Manual. (c) BUIDCO The Jal ▇▇▇▇▇ shall review and provide comments, if any, on the draft O&M Manual to the Concessionaire or notify the Concessionaire of its approval of the draft O&M Manual within 20 days from the date of receipt of the draft O&M Manual from the Concessionaire. BUIDCO The Jal ▇▇▇▇▇ may require the Concessionaire to amend or modify the draft O&M Manual if BUIDCO the Jal ▇▇▇▇▇ identifies any deficiencies, inaccuracies or shortcomings in the draft O&M Manual. If the Concessionaire receives any comments, suggestions or instructions to modify the draft O&M Manual from BUIDCOthe Jal ▇▇▇▇▇, then the Concessionaire shall modify the draft O&M Manual to correct any shortcomings, inaccuracies or deficiencies identified by BUIDCO the Jal ▇▇▇▇▇ and/or address, in writing, BUIDCOthe Jal Nigam's comments on the draft O&M Manual and submit the revised O&M Manual to BUIDCO the Jal ▇▇▇▇▇ for its approval, within 10 days of having received the Jal Nigam’s response. The process set out in this Clause 8.2(c) shall continue until the O&M Manual is approved by BUIDCO the Jal ▇▇▇▇▇ in accordance with this Clause 8.2(c). (d) The Concessionaire shall revise the O&M Manual as and when the Concessionaire thinks it necessary to do so and in such case the provisions of Clause 8.2(c) will apply as is to the approval of the revised manual. (e) The Concessionaire shall undertake the O&M of the STP Facilities strictly in accordance with the approved O&M Manual. The Concessionaire shall not deviate from or make any amendment to the approved O&M Manual without the prior written approval of BUIDCOthe Jal ▇▇▇▇▇. The Concessionaire shall not commence operation of the STP Mirzapur Facilities (except for the existing Mirzapur STP) prior to approval of the O&M Manual in accordance with this Clause 8.2. (f) Notwithstanding any approval of the O&M Manual by BUIDCOthe Jal ▇▇▇▇▇, the Concessionaire shall bear all risk, responsibility and liability for the suitability, accuracy, adequacy and practicality of the O&M Manual. The Concessionaire shall not be entitled to any extension of time and/or costs incurred in the preparation of or updating the O&M Manual and complying with the requirements of this Clause 8.2. (g) The Concessionaire shall submit separate O&M Manuals for the Digha STP Facilities and the Kankarbagh STP Facilities.

O&M Manual. 19.7.1 Ninety (a90) days prior to the anticipated date for commencement of the Operations Period (as determined by the Independent Engineer), the Concessionaire, the Concessionaire Project Engineer and the Independent Engineer shall jointly prepare and submit to Authority, an operations, repair, maintenance and safety manual (together with arrangements and procedures for conducting safety related measures) in respect of the Concession Assets that shall comply with the Applicable Standards and Good Industry Practices and shall set out, inter alia, the regular preventive maintenance and operating procedures for the Concession Assets, as to be performed pursuant to the Applicable Standards and Good Industry Practices. Such operations, repair, maintenance and safety manual shall include provisions for operation and maintenance of the Concession Assets and shall, inter alia, provide for life cycle maintenance, routine maintenance and reactive maintenance which may be reasonably necessary for maintenance and repair of the Concession Assets, including replacement thereof, such that their overall condition conforms to the Applicable Standards. The operations, repair, maintenance and safety manual shall also set out certain Project O&M Milestones and their respective Project O&M Milestone Dates. 19.7.2 The operations, repair, maintenance and safety manual jointly prepared by the Concessionaire, the Concessionaire Project Engineer and the Independent Engineer shall prepare a detailed be subject to approval of the Authority; provided, however, such approval shall be granted by Authority within fifteen (15) days of the Concessionaire’s request for such approval if the operations, repair, maintenance and safety manual is recommended by the Independent Engineer for approval after addressing any comments and observations of the Authority on the same. The operations, repair, maintenance and safety manual, as approved by the Authority, shall be binding on the Parties (the O&M Manual). 19.7.3 Four (4) copies of the O&M Manual for shall be provided by the STP Facilities based on Concessionaire to each of Authority and the Proposed Technology and in accordance with the Technical Specifications, the ESHS Documents, Applicable Laws and Applicable Permits. Independent Engineer. 19.7.4 The O&M Manual shall specify the operation procedures be revised and updated on third (separately for 3rd) anniversary of its initial preparation and subsequently every three (3) years thereafter, in each component case, with mutual consent of the STP Facilities) Parties and maintenance procedures. If there any errors or deficiencies in consultation with the Technical SpecificationsIndependent Engineer; provided, however, the Parties may revise, update and/or amend the O&M Manual shall take in account, address or rectify such errors or deficiencies.
