Officer Status. Notwithstanding anything in this Agreement to the contrary, the Consultant shall, effective as of the Effective Date, become a Vice President of the Company and shall retain such position and shall continue to be one of the holders of the Company's Maryland liquor license (the "State License") until notified by the Company. The Consultant acknowledges and agrees that she shall have no authority to act for or on behalf of the Company in such position except as expressly provided by the Board of Directors of the Company in writing. The Company agrees to indemnify the Consultant for any Damages suffered or incurred by the Consultant as a result of being one of the holders of the State License.
Officer Status. City recognizes that Airport Patrol Officers are peace officers pursuant to Section 830.33(d) of the California Penal Code and that Harbor Patrol Officers are peace officers pursuant to Section 830.33(b) of the California Penal Code. Park Rangers are peace officers not authorized to carry firearms pursuant to Section 830.31. City agrees that during the term of this contract departmental policies and procedures pertaining to the function, duties and responsibilities of said Airport Patrol Officers shall be made available to those officers.
Officer Status. Rxxxxx Xxxxxx is the President of ODEC and represents himself to be duly authorized to act on behalf of ODEC as to execute this Agreement on their behalf. Kxx Xxxxx is the President of Mxxxxxxx and its STI subsidiary and represents himself to be fully authorized to act on behalf of Mxxxxxxx and STI as to execute this Agreement on their behalf.
Officer Status. Kxx Xxxxx, Executive Vice President of Mxxxxxxx and STI is duly authorized to execute this Agreement on behalf of Mxxxxxxx and STI.
Officer Status. Executive acknowledges and agrees that his status as an officer of the Company, and as a director and/or officer of each of its subsidiaries, shall end effective as of December 7, 2018. Executive hereby agrees to execute such further document(s) as shall be determined by the Company as necessary or desirable to give effect to the termination of Executive’s status as an officer of the Company and as a director and/or officer of each of its subsidiaries as of such date.
Officer Status. You will no longer be an officer of the Company or of any of its direct or indirect subsidiaries or affiliates. You will not have, and will not hold yourself out as having, authority to bind the Company in any manner.
Officer Status. A. The parties agree that, upon signing this Agreement, effective July 6, 2015, EMPLOYEE will no longer serve as an executive officer or a Section 16 officer. EMPLOYEE will retain the title of General Counsel during the Leave Period.
Officer Status. The parties agree that effective February 4, 2017, EMPLOYEE will no longer serve as a Section 16 officer or an officer of EMPLOYER or any of its affiliates or subsidiaries.
Officer Status. You resign as and are no longer an officer, plan administrator, and/or director of the Company, or any affiliate or a member of any committee after your Separation Date.
Officer Status. Buyer agrees to appoint all Transferred Employees who are members of the Senior Management Team of the Business as officers of Buyer, a Buyer Subsidiary or Transferred Subsidiary, even if they were not officers of a Seller Entity or Transferred Subsidiary at or prior to the Closing Date. Buyer shall cause each member of the Senior Management Team to receive the benefits described in Section 8.2(j).
