Officer Agreements. V. Xxxxxxx Xxxx shall have entered into the agreements set forth in Paragraph 5.01(f) hereof.
Officer Agreements. The Officer Agreements in the forms attached hereto as Exhibit C-1 through C-2 shall have been executed by the proposed respective parties thereto (and such parties shall not have advised the Buyer that they intend to breach any such agreements) and delivered to Buyer.
Officer Agreements. MMM shall have provided to GLNC evidence in writing indicating consent and commitment of MMM officers to assume the officers' positions of GLNC pursuant to the provisions of Section 7.6.
Officer Agreements. Both BancPlus and FTC shall take such actions as are reasonably necessary to terminate, effective immediately prior to the Effective Time, the agreements between FTC and the respective executives set forth in Section 6.17 of the FTC Disclosure Schedules pursuant to the execution of the memorandum agreements required by Section 7.3(g) of this Agreement as a condition to Closing. The termination and liquidation of such agreements shall be made consistent with the provisions of Section 409A of the Code for termination and liquidation of a plan in connection with a change in control event under Section 409A of the Code, so as to avoid any additional tax, interest or penalties in connection with the termination and liquidation of such agreements.
Officer Agreements. The President and Chief Operating Officer of Company Bank, the Executive Vice President and Chief Financial Officer of Company Bank and the Vice President/Internal Auditor of Company Bank shall have executed the respective agreement in the forms set forth in Exhibits A, B and C, respectively, to this Agreement.”
Officer Agreements. Concurrently with the execution and delivery of this Agreement, First Kansas shall cause to be delivered to Acquiror:
Officer Agreements. John M. Brubaker and Robert Furchex xxxxx xxxx ------------------ entered into the Employment Agreements set forth in Paragraph 6.09 hereof.
Officer Agreements. The Officer Agreements shall remain in full force and effect.
Officer Agreements. Both Buyer and Seller shall take such actions as are reasonably necessary to terminate, effective as of the Effective Time, the agreements between Seller and the respective executives set forth in Section 6.19 of the Seller Disclosure in exchange for a cash payment at Closing in a single lump sum in the amount set forth in Section 6.19 of the Seller Disclosure opposite the executive’s name (net of applicable tax withholdings). The termination and liquidation of such agreements shall be made consistent with the provisions of Section 409A of the Code for termination and liquidation of a plan in connection with a change in control event under Section 409A of the Code, so as to avoid any additional tax, interest or penalties in connection with the termination and liquidation of such agreements.
Officer Agreements. Rxx X. Xxxxx III shall have entered into the Employment Agreement and Termination Agreement and Release set forth in Paragraph 5.01(g) hereof.
