Common use of Offer and Acceptance Clause in Contracts

Offer and Acceptance. Seller may accept this Agreement in its entirety, and any amendments thereto, by either: (i) signing and returning to Buyer a written acknowledgment of a Purchase Order, or (ii) commencing work under such Purchase Order, regardless of whether Seller signs or returns a copy of the Purchase Order. By acceptance of this Order, Seller agrees to be bound by and comply with all terms and conditions of this Agreement or in a Purchase Order, including any supplements thereto, and all specifications and other documents referred to herein. Buyer hereby rejects any attempted acknowledgement, counteroffer or other document(s) by Seller, which contain terms and conditions that are different than, inconsistent with, or in addition to the terms and conditions contained in this Agreement, regardless of when issued, unless Buyer accepts such terms in writing.
