OF THE SUBSCRIBER. The Subscriber hereby represents and warrants to the Corporation (which representations and warranties shall survive closing and continue in full force and effect for a period of three years from the date hereof) and acknowledges that the representations of the Subscriber made in Section 3.2 of the Purchase Agreement are true and correct as if made pursuant hereto. The Subscriber acknowledges that the Corporation is relying on those representations and warranties in entering into this Subscription Agreement:
OF THE SUBSCRIBER. 6.1 Representations, Warranties and Covenants of the Subscriber The Subscriber, on its own behalf and, if applicable, on behalf of each beneficial purchaser for whom it is acting, hereby represents and warrants to, and covenants with, the Corporation as follows as at the date hereof and as at the Closing Time and acknowledges that the Corporation and its counsel are relying on such representations and warranties in connection with the transactions contemplated herein:
