OEM Agreement Clause Samples

OEM Agreement. The Parties shall execute an OEM Agreement, dated as of the Closing Date, in the form attached hereto as Exhibit E, and Buyer shall pay, on the Closing Date, to Seller, via wire transfer all fees associated with the OEM Agreement.

OEM Agreement. The term “OEM Agreement” means the OEM Agreement of even date between Strides and A-S.

OEM Agreement. During the Term of this Agreement, the parties will enter into a mutually agreeable OEM Agreement allowing IPI to act as an authorized OEM sales agent for certain BAXS equipment in IPI strategic research collaborations with third parties as set forth in Exhibit D. This OEM Agreement will be finalized in good faith within 15 days.

OEM Agreement. The parties shall use their best efforts to negotiate and execute, within thirty (30) days of the Effective Date, an OEM agreement the terms of which shall include (a) the appointment of Inrange as a nonexclusive worldwide OEM distributor of Ancor's standard products; (b) pricing for such products on a most-favored customer basis with respect to other OEM distributors purchasing similar volumes of such products, and (c) other customary and reasonable terms to be mutually agreed by the parties.

OEM Agreement. The Original Equipment Manufacturer Agreement, dated as of October 31, 2000 by and between Parent and Company shall be in full force and effect.

OEM Agreement. The Company shall have entered into an OEM license agreement that meets the requirements of Schedule 7.3(g).

OEM Agreement a. OEM Agreement dated April 27, 1995, by and between Satellite Transmissions Systems, Inc. and ▇▇▇▇▇▇ Corporation.

OEM Agreement. The OEM Agreement shall have remained in full force and effect and no material breach thereof by the Company shall have occurred and be continuing thereunder. Spreadsheet. OEM Agreement. Within ten (10) days of the Agreement Date, Cadence and the Company will agree upon the form a definitive OEM Agreement (as defined in Section 5.20). The OEM Agreement shall guarantee gross revenue of at least $4,000,000 per quarter for the Company during the term of the OEM Agreement and shall become effective for all purposes on or before December 15, 1998.
