Obtaining Approvals. Purchaser shall use commercially reasonable best efforts to obtain any consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof, or other person, required to be obtained or made by Purchaser in connection with the transactions contemplated by this Agreement.
Obtaining Approvals. Whenever this Agreement requires the prior approval or consent of Franchisor, Franchisee shall make a timely written request to Franchisor therefor, and such approval or consent must be obtained in writing. Franchisor makes no warranties or guarantees upon which Franchisee may rely, and assumes no liability or obligation to Franchisee, by providing any waiver, approval, consent, or suggestion to Franchisee in connection with this Agreement, or by reason of any neglect, delay, or denial of any request therefor.
Obtaining Approvals. Seller shall use its commercially reasonable efforts to obtain (and to cooperate with Purchaser in obtaining) any (i) consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof required to be obtained or made by Seller in connection with the transactions contemplated by this Agreement, and (ii) consent to, and authorization or approval of any other person or entity to or required as a result of, consummation of the transactions contemplated hereby.
Obtaining Approvals. Jubilant shall be responsible for obtaining all Regulatory Approvals that are required in relation to the manufacture (other than general permits for the Facility), distribution and sale of the Products, including, without limitation, the Products ANDA. Cadista shall be responsible to obtain all Regulatory Approvals related generally to the Facility.
Obtaining Approvals. Whenever this Agreement requires our prior approval or consent, you shall make a timely written request to us therefor, and such approval or consent must be obtained in writing. We make no warranties or guarantees upon which you may rely, and assume no liability or obligation to you by providing any waiver, approval, consent, or suggestion to you in connection with this Agreement, or by reason of any neglect, delay, or denial of any request therefor.
Obtaining Approvals. The County and Tenant shall cooperate and use good faith efforts to obtain all approvals necessary to effectuate the terms and conditions of this Lease. In the event the Xxxxxx County Council fails to approve this Lease on or before August 1, 2010, if such approval is required, or the County fails to obtain any other necessary approval required for it to enter into this Lease, then this Lease shall become null and void and of no further force and effect, unless the parties agree to extend the time for obtaining said approvals as provided for under this Lease. In the event that there is an extension to obtain said approvals under this Section 15.19, there shall be a corresponding day for day extension of the dates as provided in Exhibit C. It is anticipated that amendments to this Lease will be required by Tenant’s lender(s) and/or bond indenture trustee(s) and the parties will reasonably cooperate with each other and such lender and/or bond trustee, at no cost or expense to the County, to effectuate reasonable amendments that the lender and/or bond trustee may require to insure that its lien interest in the Premises and income therefrom is unencumbered and not subordinate to any other lien interest. Tenant shall have the right to terminate this Lease without liability to the Tenant in the event that the County does not approve such amendments and/or does not, for any reason, obtain County Council approval of such amendments, if such approval(s) is/are required.
Obtaining Approvals. Each Borrower will, and will cause each of its Subsidiaries to, use their respective best efforts to obtain all approvals listed on Schedule X as soon as practicable following the Initial Borrowing Date. Furthermore, if at any time any approval of any Gaming Authority or any other governmental or similar approval is required in connection with the execution, delivery or performance of any Credit Document, or the taking by the Administrative Agent, the Collateral Agent or any Secured Creditors of any remedial action pursuant thereto, then each of the Borrowers shall, and shall cause the respective Subsidiaries to, use their best efforts to obtain any such approvals, upon request from the Administrative Agent, the Collateral Agent or the Required Lenders.
Obtaining Approvals. The parties hereto shall obtain (and cooperate with each other in obtaining) any consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof required to be obtained by Xxxxxx or the Stockholders or GLBN or Mergerco in connection with the transactions contemplated by this Agreement, and shall obtain prior to the Closing each consent to, and authorization or approval of any other person or entity to or as a result of, the consummation of the transactions contemplated hereby.
Obtaining Approvals. (a) This clause applies only to Development Deliverables referred to in item 1 in Schedule 1.
Obtaining Approvals. Each Party agrees to use commercially reasonable efforts to take the following actions, as reasonably necessary to consummate the transactions contemplated hereby: (a) timely obtain all approvals and consents from any Person other than the other Party (including all Governmental Entities), (b) timely make or give all filings with and notices to all Persons other than a Party (including all Governmental Entities), and (c) provide promptly to the other Party or to all other Persons (including all Governmental Entities) all information reasonably required to be provided to such other Party or such other Person. Without limiting the foregoing, the Parties shall use commercially reasonable efforts to obtain consent from Retailer and Parent to the transactions contemplated by this Agreement in the form attached hereto as Exhibit 3.06, or such other form as the Parties may mutually agree upon (“Retailer Consent”).
