Obtaining Approvals Sample Clauses

Obtaining Approvals. Purchaser shall use commercially reasonable best efforts to obtain any consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof, or other person, required to be obtained or made by Purchaser in connection with the transactions contemplated by this Agreement.

Obtaining Approvals. Whenever this Agreement requires the prior approval or consent of Franchisor, Franchisee shall make a timely written request to Franchisor therefor, and such approval or consent must be obtained in writing. Franchisor makes no warranties or guarantees upon which Franchisee may rely, and assumes no liability or obligation to Franchisee, by providing any waiver, approval, consent, or suggestion to Franchisee in connection with this Agreement, or by reason of any neglect, delay, or denial of any request therefor.

Obtaining Approvals. Seller shall use its commercially reasonable efforts to obtain (and to cooperate with Purchaser in obtaining) any (i) consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof required to be obtained or made by Seller in connection with the transactions contemplated by this Agreement, and (ii) consent to, and authorization or approval of any other person or entity to or required as a result of, consummation of the transactions contemplated hereby.

Obtaining Approvals. (1) Purchaser, in consultation with Seller, Seller's Shareholders and their counsel, agrees to forthwith use its best efforts to obtain all necessary regulatory approvals required by any Regulatory Body, including approval for the qualification for quoting of all reserved, issued and outstanding common shares of Purchaser, including the Exchange Shares, and the qualification for quoting of the shares to be issued upon exercise of the Purchase Options on The Canadian Dealing Network Inc., if any, and shall assist in making all submissions, prepare all press releases and circulars and make all notifications required with respect to this transaction and the issuance of shares as contemplated hereunder as soon as practicable. (2) Purchaser agrees that it shall take all steps necessary to make proper disclosure within such time as required by any Regulatory Body, and any other applicable statutes and laws concerning this Agreement and the transactions contemplated herein.

Obtaining Approvals. Jubilant shall be responsible for obtaining all Regulatory Approvals that are required in relation to the manufacture (other than general permits for the Facility), distribution and sale of the Products, including, without limitation, the Products ANDA. Cadista shall be responsible to obtain all Regulatory Approvals related generally to the Facility.

Obtaining Approvals. After obtaining the Landlord's approval to the Tenant Works Plans in accordance with this clause 4 and before commencing the Tenant Works, the Tenant must at its Cost obtain all Approvals for the Tenant Works. If an Authority requires any changes to the Tenant Works Plans, the Tenant must at its Cost re‑submit the amended Tenant Works Plans for the Landlord's approval under clause 4.2. Tenant Works Before commencing the Tenant Works, the Tenant must: obtain the Landlord's approval of: the Tenant Works Plans; and any contractor that will carry out any part of the Tenant Works in accordance with this deed and the Tenancy Fit Out Guide; comply with all of the requirements set out in the deed and the Tenancy Fit Out Guide which must be complied with prior to the commencement of the Tenant Works (including obtaining a building permit for the Tenant Works); obtain all Approvals and provide them to the Landlord for inspection; give to the Landlord: the items referred to in clause 11.2 and the Security Amount as required under clause 12.1; and evidence that the Tenant has effected the insurances required by clause 5.7; and construct, at its own Cost, Hoardings within or around the Premises of the type and in the locations required by the Landlord and subject to the Landlord's prior written approval.

Obtaining Approvals. AWG shall use commercially reasonable efforts to obtain (and to cooperate with Purchaser in obtaining) any consent, authorization or approval of, or exemption by, any Governmental Entity required to be obtained or made by AWG in connection with the transactions contemplated by this Agreement, and shall use commercially reasonable efforts to obtain prior to the Closing each consent to, and authorization or approval of any other person or entity to or as a result of, the consummation of the transactions contemplated hereby. AWG shall during the term of the Lease maintain and if necessary obtain all permits necessary or desirable under applicable law and regulations to operate the Business on the Leased Premises and shall comply with all the terms and conditions of such permits (including any law or regulation upon which the permit is based.).

Obtaining Approvals. Each Party agrees to use commercially reasonable efforts to take the following actions, as reasonably necessary to consummate the transactions contemplated hereby: (a) timely obtain all approvals and consents from any Person other than the other Party (including all Governmental Entities), (b) timely make or give all filings with and notices to all Persons other than a Party (including all Governmental Entities), and (c) provide promptly to the other Party or to all other Persons (including all Governmental Entities) all information reasonably required to be provided to such other Party or such other Person. Without limiting the foregoing, the Parties shall use commercially reasonable efforts to obtain consent from Retailer and Parent to the transactions contemplated by this Agreement in the form attached hereto as Exhibit 3.06, or such other form as the Parties may mutually agree upon (“Retailer Consent”).

Obtaining Approvals. Whenever this Agreement requires our prior approval or consent, you shall make a timely written request to us therefor, and such approval or consent must be obtained in writing. We make no warranties or guarantees upon which you may rely, and assume no liability or obligation to you by providing any waiver, approval, consent, or suggestion to you in connection with this Agreement, or by reason of any neglect, delay, or denial of any request therefor.

Obtaining Approvals. Buyer shall use its best efforts to obtain ------------------- (and to cooperate with Stockholder and the Company in obtaining) any consent, authorization or approval of, or exemption by, any governmental body or agency or instrumentality thereof, or other person, required to be obtained or made by Buyer or by any of its affiliates (or by Stockholder or the Company or by any of their affiliates) in connection with the transactions contemplated by this Agreement. Notwithstanding anything to the contrary in this Agreement, it shall be the responsibility and obligation of the Company and Stockholder to ensure that all Permits, licenses, consents and other governmental approvals (including, but not limited to, any such Permits, licenses, consents or approvals relating to the Servicing Rights) required to be obtained in connection with this Agreement and the matters contemplated hereby sufficient for the Company to operate its business in substantially the same fashion after the Closing as currently conducted are obtained before the Closing; provided, -------- however, that the Company and Stockholder shall not be responsible for the ------- failure to obtain any of the foregoing due solely to the identity or financial status of Buyer.
