OBLIGATIONS OF FRANCHISOR. During the continuance of this Agreement, the Franchisor agrees and undertakes to fulfill the following obligations:
5.1 To permit the Franchisee to carry on Business under the Trade Name and to use the Trade Name or words in advertising the Business in accordance with the standard and format as may be advised by the Franchisor from time to time.
5.2 To provide, if the Franchisor thinks fit, operation manual instructions or direction from time to time as guidelines for the operation of the Business in accordance with the Method. If an operation manual is supplied by the Franchisor to the Franchisee, the operation manual so supplied shall serve as the objective standards by which the performance and observation of the obligations of the Franchisee as provided hereunder are assessed.
5.3 To advise and/or assist, if the Franchisor thinks fit, the Franchisee in connection with the location of premises for the operation of the Business, commencement and development of the Business in Hong Kong, in particular relating to the design, setting, layout, seating plans, equipment, fixtures, fittings, renovation of the Shop(s) in compliance with the requirements of the Business and/ or such operation manual as may be supplied by the Franchisor. The Franchisee may engage its own contractor for the renovation or decoration of the Shop(s) at its own expenses provided that the standard or level of workmanship shall meet the requirements of the Franchisor.
5.4 To advise, if the Franchisor thinks fit, the Franchisee on the management, technical knowledge, training, personnel policies, finance, promotion, advertising and/or any issues in connection with how the operation of the Business will comply with the Method.
5.5 To provide free training at the request of the Franchisee for not less than two of its employees and staff for the operating of Business in the management, plans, measures, techniques, methods, services, standards, etc. for a period of not less than 1 month in the outlet operated by the Franchisor at such place as determined by the Franchisor from time to time. For the avoidance of doubt, during such training period, the employees on training shall remain the employees of the Franchisee and all related salaries or wages or such other expenses of the employees on training including but not limited to air-ticket fares and accommodation shall be solely borne by the Franchisee.

OBLIGATIONS OF FRANCHISOR. The Franchisor will provide to each Customer on behalf of the Franchisee:
(a) the Business System as specified by the Franchisee in accordance with the Manual; and
(b) the Core Services and any Additional Services requested by the Franchisee or a Customer.
OBLIGATIONS OF FRANCHISOR a. Training. Liberty provides for new franchisees a required five (5) day or longer EOT and a required one (1) day Hands on Training (“HOT”) taught by an existing franchisee at their Liberty Tax office. ▇▇▇▇▇▇▇ does not charge for EOT or HOT but you are responsible for all expenses you incur as a result of training, such as travel, lodging and meals.

7.1 To make available to Franchisee the benefit of its knowledge and experience in the installation, commencement and operation of the System.
7.2 To make available to the Franchised Restaurant the benefit of its knowledge and experience in: (i) selection and installation of equipment and furnishings; (ii) appropriate décor and restaurant layout; (iii) purchase, location and installation of signs identified with the operation of the Franchised Restaurant; and (iv) the System. Franchisee shall pay Franchisor a one-time nonrefundable Development Services Fee (“Development Services Fee”) in the amount of SIX THOUSAND Dollars ($6,000.00) to be paid simultaneously with the execution of this Agreement for Franchisor’s assistance with these matters.
7.3 To render advisory service regarding the operation of the Franchised Restaurant, including handling products and services in accordance with the System and Manual, and guidance on the operation of the Franchised Restaurant.
7.4 To provide quality control by conducting random, unannounced inspections of the Franchised Restaurant to ensure quality of products and services.
7.5 To provide electronic access to the Manual after this Agreement has been signed. If a paper copy is required, one (1) will be loaned to Franchisee for a non-refundable fee of one thousand dollars ($1,000.00) and must be returned upon termination of the franchise relationship.
7.6 Except to the extent Franchisor determines to train Franchisee through virtual learning, e-learning, and distance learning, as provided in Section 8.20, to provide Franchisee with in-person training in Las Vegas and supervision and assistance to Franchisee and its employees at the Franchised Restaurant around the opening of the Franchised Restaurant (“Pre-Opening Event”).
7.7 To assist in the set-up of the accounting system to be utilized by the Franchised Restaurant, as Franchisee is required to use Franchisor’s chart of accounts.
7.8 To review monthly reports and other information of the Franchised Restaurant as may be required by Franchisor.
7.9 To render advisory services regarding advertising, promotional plans, and materials for local advertising.
7.10 To provide a list of approved supplies and approved suppliers to Franchisee.
