Obligation to Assist. I will assist the Company in every proper way to obtain, and from time to time enforce, United States and foreign Proprietary Rights relating to Company Inventions in any and all countries. To that end I will execute, verify and deliver such documents and perform such other acts (including appearances as a witness) as the Company may reasonably request for use in applying for, obtaining, perfecting, evidencing, sustaining and enforcing such Proprietary Rights and the assignment thereof. In addition, I will execute, verify and deliver assignments of such Proprietary Rights to the Company or its designee. My obligation to assist the Company with respect to Proprietary Rights relating to such Company Inventions in any and all countries shall continue beyond the termination of my employment, but the Company shall compensate me at a reasonable rate after my termination for time actually spent by me at the Company’s request on such assistance.
Obligation to Assist. The Contractor shall provide all reasonable assistance to the Company or the independent body authorized by the Company in carrying out any inspection or audit pursuant to this Section 16. The Company shall be responsible for its own costs, or the costs incurred by the outside independent body designated by the Company, incurred toward carrying out such inspection or audit, unless, in the case of any such audit, that audit reveals that the Contractor is not compliant with the terms of this Agreement, in which case the Contractor shall reimburse the Company for all of its additional reasonable costs incurred, provided such non-compliance is material.

Obligation to Assist. 4.1. The Processor commits to assist the Controller in ensuring compliance with its legal obligations under the Data Protection Act, the ECA (if applicable) and the GDPR. In this regard the Processor shall respond within a reasonable delay to any request for assistance made by the Controller. In the event the Processor is of the opinion that a Controller’s request or instruction infringes the Data Protection Act, the ECA (if applicable) or the GDPR, he will immediately notify the Controller. This assistance provided by the Processor to the Controller shall be subject to reasonable compensation.
Obligation to Assist. The Proponent will provide the Owner, and any person nominated by the Owner (including the Owner's insurance advisor), with all assistance and cooperation that the Owner reasonably considers is necessary (including providing all information and making available relevant personnel) to enable the Owner to procure and implement the insurance policies which the Owner will effect and maintain under the Project Alliance Agreement.
