Novations. The Company, the applicable subsidiary or the prior owner of a property of the Company has obtained, requested or is preparing to request all necessary novations required for the United States to recognize the applicable subsidiary as the successor in interest to the relevant prior owner of each property of the Company to the lessor’s interest under all leases with the General Services Administration or other Federal agencies relating to such property.
Novations. Pledgor shall use its best efforts to seek novations of all of the Obligations such that Pledgor is the obligor of record with respect to all of the Obligations. Notwithstanding anything herein or in the Merger Agreement to the contrary and for the avoidance of doubt, upon and following the Assignment, Pledgor shall be the primary obligor with respect to all of the Obligations.
Novations. The Company, the Subsidiary, HRPT or a subsidiary of HRPT has requested or is preparing to request all necessary novations required for the United States to recognize the Subsidiary as the successor in interest to HRPT or a subsidiary of HRPT, as the case may be, to the lessor’s interest under all leases with the General Services Administration relating to each Initial Property.
Novations. As soon as reasonably practicable after the Closing Time, the Company will use all commercially reasonable efforts to obtain all necessary novations required for the United States to recognize the Subsidiary as the successor in interest to HRPT or a subsidiary of HRPT, as the case may be, to the lessor’s interest under all leases with the General Services Administration relating to each Initial Property.
Novations. In the event any Governmental Entity requires Government Contract Novations, Seller and Seller's Parent shall cooperate with the PRC Companies to promptly obtain such Government Contract Novations and shall execute the novation agreements required by any Governmental Entity.
Novations. Seller shall use its commercially reasonable best efforts to effectuate any Novations (as defined in Section 6.8) as soon as reasonably practicable following the Closing Date.
Novations. To the extent the Administrator in its sole discretion elects to novate any of the Covered Insurance Contracts, at the request of the Administrator, each Company shall use commercially reasonable efforts to cooperate with the Administrator to novate any of the Covered Insurance Contracts to the Administrator. Such novation shall completely release and extinguish such Company's liabilities under each such novated Covered Insurance Contract and each such novated Covered Insurance Contract shall not be deemed a part of the Administered Business following the effective date of the novation.
Novations. The Company shall provide such reasonable assistance as Buyer may request for Buyer and the Surviving Corporation to obtain, secure and effect any novation of a Government Contracts that may be requested by a governmental entity and to effect all filings in connection therewith.
Novations. CollaGenex shall deliver to Alliance documentation in appropriate form sufficient to effect the novation of all of the Distribution Agreements.
Novations. Seller agrees to use reasonable efforts to obtain contract novations or consents to assignment as necessary, for all Contracts requiring Novation or Consent to Assignment prior to or as soon as practicable after the Time of Closing.
