Notification of the Company. Shareholder hereby agrees, while this Agreement is in effect, to notify the Company promptly of the number of any additional shares of capital stock and the number and type of any other voting securities of Parent acquired by such Shareholder, if any, after the date hereof.

Upon conception by Employee during the period of his or her employment by the Company, all Inventions, Confidential Information, and Copyright Works (1) which relate to the actual or anticipated business, research or activities of the Company or any Affiliated Entity at the time of conception; or (2) which, directly or indirectly, result from or are suggested by any work which Employee has done or may do for or on behalf of the Company or any Affiliated Entity and/or their respective customers and vendors; or (3) which are developed, tested, improved or investigated either in part or entirely on time for which Employee was paid by the Company, or using any resources of the Company (such Inventions, Confidential Information and Copyright Works, together with the Inventions, Confidential Information, Copyright Works, Copyright Registrations and/or Patents referenced in subsection (j) below, are hereinafter collectively referred to as the "Employee Developed Intellectual Property") shall become the property of the Company whether or not patent or copyright registration applications are filed for such subject matter. Employee agrees to communicate to the Company promptly and fully all Employee Developed Intellectual Property made, designed, created, or conceived by Employee (whether made, designed, created, or conceived solely by Employee or jointly with others).
Notification of the Company. Each member of the HMTF Group hereby covenants and agrees that such Person will promptly notify the Company when and if such Person receives any oral or written request of such Person or any of its Affiliates to participate in any of the transactions or actions referred to in Sections 8.2.2(a) through (i).

Each Purchaser hereby covenants and agrees that such Purchaser will promptly notify the Company when and if such Purchaser receives or learns of (i) any oral or written request to such Purchaser or any of its Affiliates to participate in any of the transactions or actions referred to in Sections 2.1(a) through 2.1(g), or (ii) any oral or written communication from or by any Person (other than the Company) with respect to any of the transactions or actions referred to in Sections 2.1(a) through 2.1(g) if such Person could reasonably be deemed to be capable of effecting, participating in or materially assisting in such an action or transaction (through one or more Affiliates or otherwise) and such oral or written communication was of a nature that could reasonably be deemed to indicate a serious interest in effecting, participating in or materially assisting in such an action or transaction.

Notification of the Company. Notwithstanding that any member of the Coordinating Committee shall cease to be a member thereof or that the Secretary of the Coordinating Committee has resigned or been replaced, the Company may (but shall not be required to) treat such member or Secretary as such, until it receives written notice from or on behalf of the Coordinating Committee of such change.
Notification of the Company. The Bidder shall promptly notify the Company of the occurrence of any circumstance which would be reasonably likely to result in the non-compliance with any of Superior’s and/or the Bidder’s obligations under this Agreement, or which would otherwise be reasonably likely to have a negative impact on the completion of the Transaction.

Employee agrees to promptly disclose to the Company all Intellectual Property and other proprietary information which Employee may author, create, make, conceive, or develop, either solely or jointly with others, whether inside or outside normal working hours or on or off Company premises, during the term of employment with the Company.
