Notices to Third Parties. Lender shall have the right at any time to give any Guarantor or Subordinating Creditor notice of any fact or event relating to this Agreement, as Lender may deem necessary or desirable in Lender's sole discretion, including, without limitation, Borrower's financial condition. Borrower shall provide to each Guarantor and Subordinating Creditor a copy of each notice, statement or report required to be given to Lender hereunder.
Notices to Third Parties. In addition to the actions described in Section 5.2, the members of the Parent Group and the members of the Xxxxx Xxxxxxx Group shall cooperate to make all other filings and to give notice to and obtain any Consent or Governmental Approval that is required or advisable to consummate the transactions contemplated by this Agreement and the Ancillary Agreements.
Notices to Third Parties. Upon the occurrence of an Event of Default, Lender shall have the right to give any Credit Party or Subordinating Creditor notice of any fact or event relating to this Agreement, as Lender may deem necessary or desirable in Lender's sole discretion, including any Credit Party's financial condition.

SELLER and PURCHASER shall notify all lessors, royalty owners, operators, non-operators, purchasers of production and Governmental Bodies that PURCHASER has purchased the Oil & Gas Interests and has assumed liability for their continued operation from and after the Closing. PURCHASER and SELLER shall execute all transfer orders/division orders or letters in lieu of transfer orders necessary to transfer payment of the proceeds from the sale of production from the Oil & Gas Interests as of the Effective Time to PURCHASER.

In addition to the actions described in Section 2.7 hereof, Echelon shall, and the members of the Florida Progress Group shall cooperate with the efforts of Echelon to, make all other filings and give notice to and obtain consents from all third parties that may reasonably be required to consummate the transactions contemplated by this Agreement and the Ancillary Agreements.

In addition to the actions described in Section 5.02, the members of the Packco Group and the members of the New Grace Group shall cooperate to make all other filings and give notice to and obtain consents from all third parties that may reasonably be required to consummate the transactions contemplated by this Agreement, the Merger Agreement and the Other Agreements.
