NOTICES RE REGULATORY BODIES. The Issuers will, promptly upon (but in any event not later than three (3) Business Days after) becoming aware thereof, notify the Investor in writing of any (A) material correspondence between any Capri Party and any Regulatory Body and (B) notice from any Regulatory Body of any alleged violation of any laws, regulations or other requirements of any Regulatory Body applicable to any of the Capri Parties, and in each case such notice from the Issuers shall attach a copy of such correspondence or notice, as applicable.
