Notice Preceding Compelled Disclosure. ‌ If the Receiving Party or any of its Representatives are requested or required to disclose any Confidential Information, the Receiving Party shall promptly notify the Disclosing Party of such request or requirement so that the Disclosing Party may seek an appropriate protective order or waive compliance with this Agreement. If, in the absence of a protective order or the receipt of a waiver hereunder, the Receiving Party or its Representatives are compelled to disclose the Confidential Information, the Receiving Party and its Representatives may disclose only such of the Confidential Information to the Party compelling disclosure as is required by Laws and Regulations only to such Person or Persons to which the Receiving Party is legally compelled to disclose and, in connection with such compelled disclosure, the Receiving Party and its Representatives shall provide notice to each such recipient (in co-operation with legal counsel for the Disclosing Party) that such Confidential Information is confidential and subject to non- disclosure on terms and conditions equal to those contained in this Agreement and, if possible, shall obtain each recipient’s written agreement to receive and use such Confidential Information subject to those terms and conditions.

If, in the absence of an injunction, protective order or the receipt of a waiver hereunder, such party is, in the opinion of counsel, compelled by such law or legal process to disclose the Confidential Information, then such party may disclose only such of the Confidential Information as is required and provided that it exercises reasonable efforts to obtain an order or other reliable assurance that confidential treatment will be accorded to the disclosed Confidential Information, there shall be no liability for the disclosure of Confidential Information pursuant to this sentence.

If, in the absence of a protective order or the receipt of a written waiver by the Disclosing Party, Receiving Party or its Representatives are compelled by a subpoena or by an order of a court of competent jurisdiction to disclose any portion of the Confidential Information or else stand liable for contempt or suffer other censure or penalty, Receiving Party and its Representatives may disclose only such portion(s) of the Confidential Information to the party compelling disclosure as is required by such subpoena or order and, in connection with such compelled disclosure, Receiving Party and its Representatives shall use their reasonable efforts to obtain from the party to whom disclosure is made written assurance that confidential treatment will be accorded to such portion(s) of the Confidential Information as is disclosed.

If, in the absence of a protective order, Receiving Party or any of its representatives are, in the opinion of its counsel, compelled pursuant to Applicable Requirements or by any regulator to disclose the Confidential Information provided by Disclosing Party, Receiving Party may disclose to the party compelling disclosure only the part of such Confidential Information as is required to be disclosed (in which case, to the extent reasonably possible, prior to such disclosure, Receiving Party will use commercially reasonable efforts to advise Disclosing Party as to such disclosure and the nature and wording of such disclosure) and Receiving Party will use commercially reasonable efforts to obtain confidential treatment therefor.
