Notice of Legal Actions. The Party entitled to indemnification pursuant to this Section 7 (the “Indemnified Party”) shall promptly notify the Party liable for indemnification pursuant to this Section 7 (the “Indemnifying Party”) and shall provide to the Indemnifying Party all information and documentation necessary to support and verify any Losses that the Indemnified Party shall have determined to have given, or is reasonably likely to give, rise to a claim for indemnification hereunder. Notwithstanding the foregoing, the failure to so notify the Indemnifying Party in a timely manner shall not relieve the Indemnifying Party of any liability that it may have to any Indemnified Party, except to the extent that the Indemnifying Party demonstrates that it is prejudiced by the Indemnified Party’s failure to give such notice promptly.
