Notice by the Administrative Agent. The Administrative Agent, upon determining the Eurodollar Rate for any Interest Period, shall promptly notify by telecopy or telephone (in the case of telephonic notices, confirmed by telecopy or otherwise in writing) or in writing the Company and the Applicable Lenders.

The Borrowers hereby waive the right to dispute the Administrative Agent's record of the terms of such telephonic notice, absent manifest error.

The Administrative Agent or the Canadian Administrative Agent, upon determining the LIBOR Rate for any Interest Period and the Discount Rate for any Contract Period, shall promptly notify by telecopy or telephone (in the case of telephonic notices, confirmed by telecopy or otherwise in writing) or in writing to the Borrowers and the Lenders.
Notice by the Administrative Agent. The Administrative Agent shall notify the Lenders promptly upon receipt of the Borrowing Agent’s notice of each such request under Section 6.1.1 and the time period within which each Lender is requested to respond.
Notice by the Administrative Agent. Promptly upon (and in any event within five Business Days after) having actual knowledge of the existence of any Event of Default under the Credit Agreement, the Administrative Agent shall use commercially reasonable efforts to give notice thereof to the Company and each of the Noteholders, provided, however that (i) the failure by the Administrative Agent to give such notice to the Company shall not affect the rights of the Administrative Agent, any Lender or any other party under the Credit Agreement against the Company or any Senior Credit Subsidiary Obligor under the Credit Agreement, the Senior Credit Guaranty or any other Loan Document (as defined in the Credit Agreement), (ii) the failure by the Administrative Agent to give such notice to the Noteholders shall not affect the right of any Creditor to its Pro Rata Share of Subsidiary Payments as provided in Section 3 and (iii) the failure by the Administrative Agent to give such notice to the Company or any Noteholder shall not give rise to any legal liability of or cause or action against the Administrative Agent as a result of such failure.
