Not Foreign Person. Seller is not a “foreign person” as defined in §1445 of the Internal Revenue Code of 1986, as amended (the “Code”), or under any similar sections of any similar laws of the State of California. Seller shall sign under penalty of perjury and deliver to Buyer at the Closing a certification thereof indicating thereon Seller’s U.S. taxpayer identification number and address.
