Common use of Not Exclusive of Other Rights Clause in Contracts

Not Exclusive of Other Rights. The indemnification provided by this Agreement shall not be deemed exclusive of any other rights, in respect of indemnification or otherwise, to which those seeking indemnification may be entitled apart from the provisions of this Agreement and shall apply both as to action by a Manager, Member, officer, employee or agent in his official capacity and as to action in another capacity while holding such office or position, and shall continue as to a person who has ceased to be a Manager, Member, officer, employee or agent and shall inure to the benefit of the heirs, executors and administrators of such a person.
