Nonsolicitation Agreement. During Executive’s employment hereunder and for a period of two years after Executive ceases to be employed by Employer, Executive shall not, directly or indirectly, for Executive’s own account or otherwise (i) solicit business from, divert business from, or attempt to convert to other methods of using the same or similar products or services as provided by Employer or Employer’s Affiliates, any client, account or location of Employer or Employer’s Affiliates with which Executive has had any contact as a result of Executive’s employment hereunder; or (ii) solicit for employment or employ any employee or former employee of Employer or Employer’s Affiliates.
Nonsolicitation Agreement. 6.1 During the term of this Agreement and for a period of one (1) year after Executive’s employment is terminated for any reason, Executive will not, directly or indirectly, individually or on behalf of any other person, firm, partnership, corporation, or business entity of any type, solicit, assist or in any way encourage any current employee or consultant of the Company, whom Executive supervised or had responsibility for during the twelve (12) months prior to the termination of employment, to terminate his or her employment relationship or consulting relationship with or for the Company, nor will Executive solicit the services of any former employee or consultant of the Company whom Executive supervised or had responsibility for during the twelve (12) months prior to the termination of employment, whose service with the Company has been terminated for less than six (6) months.
Nonsolicitation Agreement. During the Restricted Period, Executive will not without the express prior written approval of the Board of Directors of the Company (i) directly or indirectly, in one or a series of transactions, recruit, solicit or otherwise induce or influence any proprietor, partner, stockholder, lender, director, officer, employee, sales agent, joint venturer, investor, lessor, supplier, customer, agent, representative or any other person which has a business relationship with the Company to discontinue, reduce or modify such employment, agency or business relationship with the Company, or (ii) employ or seek to employ or cause any Competing Business to employ or seek to employ any person or agent who is then (or was at any time within six (6) months prior to the date the Executive or the Competing Business employs or seeks to employ such person) employed or retained by the Company. Notwithstanding the foregoing, nothing herein shall prevent the Executive from providing a letter of recommendation to an employee with respect to a future employment opportunity.
Nonsolicitation Agreement. In the event that the termination of employment of the Executive pursuant to this Agreement is effectuated by the Executive electing to terminate his employment pursuant to this Agreement, or by Company for "cause" (as herein defined), the Executive agrees that the Executive shall not, for a one (1) year period of time following the date of termination of his employment, (a) solicit for employment or hire any individual who was an executive or employee of the Company, or any of its affiliates, on the date of termination of his employment or at any time within the twelve (12) months preceding the date of termination of his employment, or (b) solicit the business of any person or entity who is or was a customer, client, agent or representative of the Company, or any of its affiliates, at the date of termination of his employment, or at any time during the twelve (12) months preceding the date of termination of his employment. The covenants and agreements set forth in this Paragraph 9 shall survive the termination of this Agreement.
Nonsolicitation Agreement. For a period of five years immediately following the Effective Date, Executive shall not, directly or indirectly, for Executive's own account or otherwise (i) solicit business from, divert business from, or attempt to convert to other methods of using the same or similar products or services as provided by an Affiliated Entity, any client, account or location of an Affiliated Entity with which Executive has had any contact as a result of Executive's relationship with any Affiliated Entity; or (ii) solicit for employment or employ any employee or former employee of any Affiliated Entity.
Nonsolicitation Agreement. During the Restricted Period, the Executive covenants and agrees that he shall not, directly or indirectly, solicit the employment or services of, or cause or attempt to cause, to leave the employment or services of the Company, or any of its affiliates, any person employed by, or otherwise engaged to perform services for the Company, or any of its affiliates (whether in the capacity of employee, consultant, independent contractor, or otherwise).
Nonsolicitation Agreement. From and after the date hereof to the first anniversary of the Closing Date, neither Seller nor any affiliates of Seller shall solicit for employment any employee of the Station; provided, however, that the foregoing shall not apply to any employee of the Station who is terminated by Buyer after the TBA Date.
Nonsolicitation Agreement. During the period of two (2) years from and after the date hereof, Covenantors, jointly and severally, agree that they will not, whether for their own account or for the account of any other person or entity, directly or indirectly, or individually or collectively, interfere with Company's relationship with or endeavor to divert or entice away from the Company any person or entity which at any time during the term of the Covenantors' prior relationship with the Business is or was an employee or customer of the Business except as set forth in the Purchase Agreement.
Nonsolicitation Agreement. Both parties acknowledge and agree that as a result of their relationship with each other they are, and continue to be privy to the Confidential Information of the other party, and that such Confidential Information is valuable and material to the businesses and competitive position of the other party, and that the covenants herein contained are a material consideration and inducement to both parties to enter into this Agreement. Accordingly, both parties agree that during the term of this Agreement and for a period of two (2) years thereafter, they will not, without the prior written consent of the other, directly or indirectly, for themselves or others, or as owners, consultants, joint venturers, independent contractors, advisors, agents or otherwise: directly or indirectly, or for or with any other person, firm, corporation, limited liability company, partnership, joint venture or other entity whatsoever, knowingly solicit or endeavor to entice away from the other any person employed by the other party, or with whom the other party has a business relationship, in order to accept an employment or establish an association withthem, or any other person, firm, corporation, limited liability company, partnership, joint venture or entity whatsoever, and approach any such person for any such purpose or authorize or knowingly cooperate with the taking of any such action by any other person, firm, corporation, limited liability company, partnership, joint venture or entity whatsoever.
Nonsolicitation Agreement. In connection with the consummation of these transactions, Seller and its principal officers, directors and shareholders shall have executed a nonsolicitation agreement in the form of Exhibit 2 (the " Nonsolicitation Agreement").
