Common use of Non-Solicitation of Employees Clause in Contracts

Non-Solicitation of Employees. The Executive will not, during the period of the Executive’s employment with the Company, and for a period of one year after the termination of the Executive’s employment with the Company for any reason, directly or indirectly, recruit, solicit or otherwise induce or attempt to induce any employee of the Company to leave the employment of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliated.

Non-Solicitation of Employees. The Executive will not, during the period of the Executive’s employment with the Company, and agrees that for a period of one year after the following termination of employment in conjunction with or after a Change in Control, the Executive’s Executive shall not contact, on his or her own behalf or on behalf of others, employ, solicit, or induce, or attempt to employ, solicit or induce, any employee of the Companies for purposes of employment or other business relationship with any other business entity, nor will the Company for any reason, Executive directly or indirectly, recruiton his behalf or for others, solicit or otherwise induce or attempt seek to induce influence any Companies’ employee of the Company to leave the employment employ of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedCompanies.

The Executive agrees that for one (1) year after his employment with the Company terminates, Executive will not, directly or indirectly, solicit or attempt to recruit or hire, or hire or retain, any employee of the Company (or an affiliated company) who were employed by the Company (or an affiliated company) at any time during the period last year of the Executive’s employment with the Company, and for a period of one year after the termination of the Executive’s employment with the Company to provide services for any reason, directly other person or indirectly, recruit, solicit or otherwise induce or attempt to induce any employee of the Company to leave the employment of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedentity.

The Executive will not, agrees that during the period of the Executive’s Employment Period and for a period of eighteen (18) months thereafter, Executive shall not, directly or indirectly, through any other individual or entity, solicit any employee of the Company, to cease his or her employment with the Company, and for a period of one year after the termination of the Executive’s employment with the Company for any reason, directly or indirectly, recruit, solicit or otherwise induce or attempt to induce any employee of the Company to leave the employment of the Company, nor hire Executive will not approach any such employee at for any enterprise with which such purpose or knowingly authorize the Executive is then affiliatedtaking of any such action by any other individual or entity.

The Executive will not, further agrees that during the period term of the Executive’s employment with the Company, and for a period of one year after immediately following the termination of the Executive’s such employment with the Company for any reasonreason whatsoever, Executive shall not directly or indirectly, recruit, solicit or otherwise indirectly induce or attempt to induce influence any employee of the Company to leave terminate his/her employment with the employment of the Company, nor hire Company or to work for Executive or any such employee at any enterprise with which the Executive is then affiliatedother person or entity.

The Executive will not, further agrees that during the period term of the Executive’s 's employment with the Company, and for a period of one year after immediately following the termination of the Executive’s such employment with the Company for any reasonreason whatsoever, Executive shall not directly or indirectly, recruit, solicit or otherwise indirectly induce or attempt to induce influence any employee of the Company to leave terminate his/her employment with the employment of the Company, nor hire Company or to work for Executive or any such employee at any enterprise with which the Executive is then affiliatedother person or entity.

The Executive will shall not, during the period of the Executive’s employment with the Company, and for a period of one year after two years following the termination of the Executive’s employment with the Company for any reason, whether alone or for or in conjunction with any Person or entity, whether as an employee, partner, director, principal, agent, consultant or in any other capacity whatsoever, directly or indirectly, recruit, indirectly solicit or otherwise induce or attempt to induce assist in the solicitation of any employee of the Company or an affiliate of the Company to leave the employment of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedemployment.

Non-Solicitation of Employees. The Executive will not, agrees that during the term of Executive’s employment with the Company and for a period of two (2) years after the termination of Executive’s employment with the Company, and for a period of one year after the termination of the Executive’s employment with the Company for any reason, occurring prior to a Change of Control, Executive shall not directly or indirectly, indirectly recruit, solicit or otherwise induce or attempt to induce any employee employees of the Company to leave the employment of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliated.

Non-Solicitation of Employees. The Executive will not, during the period of the Executive’s employment agrees that while Executive is employed with the CompanyCompany or its affiliates, and for a period of one year two (2) years after the termination of the Executive’s employment with the Company terminates for any reason, Executive shall not, directly or indirectly, recruitwhether on behalf of Executive or others, solicit or otherwise induce solicit, lure or attempt to induce hire away any individual who is or, within two (2) months of the date of such action, was an employee of the Company to leave the employment or any of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedits affiliates.

Non-Solicitation of Employees. The Executive will notagrees, during for so long as the period of the Executive’s employment with Executive remains employed by the Company, and for a period of one year after two years following the termination of the Executive’s employment with employment, that the Executive shall not, either for the Executive’s own account, or on behalf of any other person or entity, solicit, suggest or request that any other person employed by the Company or one of its Affiliates leave such employment for any reason, directly or indirectly, recruit, solicit or otherwise induce or attempt to induce any employee the purpose of the Company to leave the employment of the Company, nor hire any such employee at any enterprise with which becoming employed by the Executive is then affiliatedor any other person or entity.

Non-Solicitation of Employees. The Executive will not, during the period of the Executive’s employment with the Company, and agrees that for a period of one year after the following termination of employment in conjunction with or after a Change in Control, the Executive’s Executive shall not contact, on his own behalf or on behalf of others, employ, solicit, or induce, or attempt to employ, solicit or induce, any employee of the Companies for purposes of employment or other business relationship with any other business entity, nor will the Company for any reason, Executive directly or indirectly, recruiton his behalf or for others, solicit or otherwise induce or attempt seek to induce influence any Companies’ employee of the Company to leave the employment employ of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedCompanies.

Non-Solicitation of Employees. The Executive will not, during During the period term of the Executive’s employment with the Company, under this Agreement and for a period of one (1) year immediately after the termination of the Executive’s employment with such employment, Executive will not solicit, recruit; hire, employ or attempt to hire or employ or any person who is employed by the Company for any reasonor urge, directly or indirectlyinfluence, recruit, solicit or otherwise induce or attempt seek to induce any employee of the Company to leave the employment of terminate such employee’s relationship with the Company, nor hire any such employee at any enterprise with which the Executive is then affiliated.

The Executive agrees that for an 18-month period commencing on the date his employment actually terminates, the Executive will not, during the period of the Executive’s employment with the Company, and for a period of one year after the termination of the Executive’s employment with the Company for any reason, directly or indirectly, recruit, solicit or otherwise induce for hire or attempt to induce solicit for hire any employee of the Company to leave the employment or any of the Companyits Affiliates, nor assist in such soliciting for hire by any Person, or encourage any such employee at to terminate his or his relationship with the Company or any enterprise with which the Executive is then affiliatedof its Affiliates.

The While Executive is employed by the Company and for twelve (12) months after such employment terminates, Executive will not, during the period of the Executive’s employment with the Company, and for a period of one year after the termination of the Executive’s employment with the Company for any reason, not (acting either directly or indirectly, recruitor through any other person, solicit firm, or otherwise corporation) induce or attempt to induce or influence any employee of the Company to leave terminate employment with the employment of Company when the Company, nor hire any such employee at any enterprise with which the Executive is then affiliated.Company desires to retain that person’s services

This covenant shall not prevent Executive from hiring current or indirectly, recruit, solicit or otherwise induce or attempt to induce any employee future employees of the Company to leave the employment of the Companywho seek out such employment, nor hire any such employee at any enterprise with which the Executive is then affiliatedwithout solicitation by Executive.

The While Executive will not, during the period of the Executive’s employment with is employed by the Company, or retained as a consultant, and for a period of one year eighteen (18) months after the termination of the Executive’s such employment with the Company for any reasonand/or consulting relationship terminates, Executive will not (acting either directly or indirectly, recruitor through any other person, solicit firm, or otherwise corporation) induce or attempt to induce or influence any employee of the Company to leave terminate employment with the employment of Company when the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedCompany desires to retain that person’s services.

Non-Solicitation of Employees. The During employment and for one year following termination of Executive's employment for any reason, Executive will not, during the period shall not directly or indirectly solicit or attempt to solicit for employment any of the Company's employees with whom Executive became familiar as a result of Executive’s 's employment with the Company, and for a period of one year after the termination of the Executive’s . Executive further agrees that he/she will not attempt to persuade such persons from discontinuing their employment or relationship with the Company for any reason, directly or indirectly, recruit, solicit or otherwise induce or attempt to induce any employee of the Company to leave the employment of the Company, nor hire any such employee at any enterprise with which the Executive is then affiliatedsame time period.
