Common use of Non-Solicitation; Non-Interference Clause in Contracts

Non-Solicitation; Non-Interference. During the Term and for twenty-four (24) months after his or her employment with the Company terminates for any reason, the Executive agrees that he or she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (i) approach the suppliers, clients, direct or end customers or contacts or other persons or entities introduced to the Executive in his or her capacity as a representative of the Group for the purpose of doing business of the same or of a similar nature to the business of the Group or doing business that will harm the business relationships of the Group with the foregoing persons or entities; (ii) solicit, encourage or assist other employees of the Group to seek employment with any business or organization in competition with the Group; or otherwise interfere with the business or accounts of the Group.

During the Term and for twenty-four six (246) months after his or her employment with the Company terminates for any reason, the Executive agrees that he or she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (i) approach the suppliers, clients, direct or end customers or contacts or other persons or entities introduced to the Executive in his or her capacity as a representative of the Group for the purpose of doing business of the same or of a similar nature to the business of the Group or doing business that will harm the business relationships of the Group with the foregoing persons or entities; (ii) solicit, encourage or assist other employees of the Group to seek employment with any business or organization in competition with the Group; or otherwise interfere with the business or accounts of the Group.

During the Term and for twenty-four (24) months after his or her a period of one year following the termination of the Executive’s employment with the Company terminates for any reason, the Executive agrees that he or he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: : (i1) approach the suppliers, clients, direct or end customers or contacts of the Company or other persons or entities introduced to the Executive in his or her the Executive’s capacity as a representative of the Group Company for the purpose purposes of doing business of the same with such persons or of a similar nature to the business of the Group or doing business that entities which will harm the business relationships of relationship between the Group with Company and such persons and/or entities; (2) solicit the foregoing persons employment or entities; (ii) solicitservices of, encourage or assist other employees of the Group hire or engage, any person who is known to seek employment with any business be employed or organization in competition with engaged by the Group; or or (3) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.
