Common use of Non-Exclusive Right Clause in Contracts

Non-Exclusive Right. On the basis of the representations, warranties and undertakings given by the DPO, and subject to the DPO paying broadcaster’s share of the Monthly MRP, the Broadcaster, hereby grants nonexclusive right to the DPO to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such Subscribed Channels to the Subscribers in a securely encrypted manner during the Term (both to be done at the DPO’s sole cost and expense), subject to the DPO complying with all the terms and conditions as set out in this Agreement. The DPO hereby specifically understands and acknowledges that the DPO shall not have the right to upgrade the standard definition feed of the Subscribed Channels to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels through its DAS Distribution Systems. The DPO further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO under this Agreement, including without limitation, now available or which may become available in future are reserved by the Broadcaster.

Non-Exclusive Right. On the basis of the representations, warranties and undertakings given by the DPOOperator, and subject to the DPO paying broadcaster’s share Operator complying with all the terms and conditions as set out in this Agreement (including timely payment of the Monthly MRPLicense Fees), the Broadcaster, SDSPL hereby grants nonexclusive non-exclusive right to the DPO Operator to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such Subscribed Channels through its digital Addressable System to the Subscribers (through the Operator‟s own Cable Network and the Affiliated Cable Operators) in a securely encrypted manner during the Term (both to be done at the DPO’s Operator‟s sole cost and expense), subject to the DPO complying with all the terms . The Operator hereby specifically understands and conditions as set out in acknowledges that under this Agreement, the Operator shall not be entitled to provide passive infrastructures like transponder space on satellite, earth station facilities, etc. The DPO to any Cable Operators for distribution of multi channel TV programmes, in C band and Ku band through QAM set top boxes, using such infrastructure facilities. Further, the Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels through its DAS Distribution digital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved by the BroadcasterSDSPL.

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution Digital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV,NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future are reserved by the BroadcasterXXXXX SATCOM LTD.

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels /Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting re‐transmitting the Subscribed Channels Channels/Bouquets through its DAS HITS Distribution Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or and /or access to the signals of the Channels/Channels/ Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed channels /Subscribed Channels and/or and /or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, Cable (analogue), DTH,PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future are reserved by the BroadcasterETV.

Non-Exclusive Right. On the basis of the representations, warranties and undertakings given by the DPOOperator, and subject to the DPO Operator paying broadcaster’s share of the Monthly MRPLicense Fees, the Broadcaster, hereby KMSPLhereby grants nonexclusive non-exclusive right to the DPO tothe Operator to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such Subscribed Channels provide only IPTV Service strictly on linear basis to the Subscribers in a securely encrypted manner during the Term (both to be done at the DPO’s Operator‟s sole cost and expense), subject to the DPO Operator complying with all the terms and conditions as set out in this Agreement. .The DPO Operator hereby specifically understands and acknowledges that thatunder this Agreement,the DPO Operator is not entitled (a) to provide Cable Services, (b) to retransmit and/or distribute the Subscribed Channelsand/or the content thereof on non-linear basis, (c) to stream of the Subscribed Channels and/or the content thereof and/or record and distribute theSubscribed Channels and the contents thereof (including but not limited through any universal serial bus (USB) which is paired to a viewing device or through any other devices susceptible to use for duplication of video and audit; and/or side loading and cloud storage like functionality which enables steaming of recorded or live content to various devices), and (d) to re-transmit and/or distribute the Subscribed Channels to any Commercial Subscribers for which one or more separate agreement(s) shall be executed between the Parties at rates applicable for Commercial Subscribers. The Operator hereby specifically understands and acknowledges thatthe Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution itsdigital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation,the rights to distribute the Subscribed Channels or the contents thereof via analog cable network, digital addressable cable network, direct to home, headend-in-the-sky, internet, intranet, any other open or closed systems (including but not limited to XXX and Web TV) as well as PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved by the BroadcasterKMSPL.

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels /Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting re‐transmitting the Subscribed Channels / Bouquets through its DAS Distribution Digital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or and /or access to the signals of the Channels/Channels/ Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed channels /Subscribed Channels and/or and /or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future are deemed to be specifically not granted hereunder, withheld and are reserved by ETV. The grant of the Broadcasteraforementioned rights is subject to operator submitting to the Broadcaster a certified copy of a valid Digital Addressable Cable TV System, Certificate of Registration under the Cable Television Network (Regularization) Act of 1995, read with the Cable Television Network Rules, 1994, as amended from time to time; and a copy of other statutory licenses/permissions, that may be required under the applicable laws, in connection with the ownership and operation by operator of the Platform.

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels through its DAS HITS Distribution Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, Cable (analogue), DTH, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future are reserved by the BroadcasterBroadcaster .

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution Digital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV,NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future are reserved by the BroadcasterXXXXX XXXXXX LTD.

Non-Exclusive Right. (i) On the basis of the representations, warranties and undertakings given by the DPODTH OPERATOR, and subject to the DPO DTH OPERATOR paying broadcaster’s share of the Monthly MRPSubscription Fees, the Broadcaster, SSCL hereby grants nonexclusive non- exclusive right to the DPO DTH OPERATOR to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such Subscribed Channels through its Addressable System to the Subscribers directly in a securely encrypted manner during the Term (both to be done at the DPODTH OPERATOR’s sole cost and expense), subject to the DPO DTH OPERATOR complying with all the terms and conditions as set out in this Agreement. The DPO DTH OPERATOR hereby specifically understands and acknowledges that the DPO DTH OPERATOR shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution digital Addressable Systems. The DPO DTH OPERATOR further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO DTH OPERATOR to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO DTH OPERATOR under this Agreement, including without limitationlimitation multiplexing, time shift, NVOD, PPV, SVOD, VOD, TVOD, AVOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved exclusively by the BroadcasterSSCL.

Non-Exclusive Right. (i) On the basis of the representations, warranties and undertakings given by the DPOMSO, and subject to the DPO MSO paying broadcaster’s share of the Monthly MRPSubscription Fees, the Broadcaster, SSCL hereby grants nonexclusive non-exclusive right to the DPO MSO to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such Subscribed Channels through its digital Addressable System to the Subscribers (either directly or through the local cable operators) in a securely encrypted manner during the Term (both to be done at the DPOMSO’s sole cost and expense), subject to the DPO MSO complying with all the terms and conditions as set out in this Agreement. The DPO MSO hereby specifically understands and acknowledges that the DPO MSO shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution digital Addressable Systems. The DPO MSO further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO MSO to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO MSO under this Agreement, including without limitation, NVOD, PPV, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved by the BroadcasterSSCL.

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution digital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved by the BroadcasterSDSPL.

All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved by the BroadcasterSDSPL.

Non-Exclusive Right. On the basis of the representations, warranties and undertakings given by the DPOOperator, and subject to the DPO Operator paying broadcaster’s share of the Monthly MRPSubscription Fees, the Broadcaster, XXXXX SATCOM LTD CHENNAI hereby grants nonexclusive non-exclusive right to the DPO Operator to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such the Subscribed Channels through its Addressable System to the Subscribers (either directly or through the Local Cable Operators) in a securely encrypted Encrypted manner during the Term (both to be done at the DPOOperator’s sole cost and expense), subject to the DPO Operator complying with all the terms and conditions as set out in this Agreement. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the standard definition Channels, from amongst the Subscribed Channels Channels, to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed distributing such standard definition Channels through its DAS Distribution SystemsAddressable System. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, now available or which may become available in future PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, DTH, etc., are reserved by the BroadcasterXXXXX SATCOM LTD CHENNAI.

Non-Exclusive Right. On the basis of the representations, warranties and undertakings given by the DPOOperator, and subject to the DPO Operator paying broadcaster’s share of the Monthly MRPLicense Fees, the Broadcaster, hereby grants nonexclusive non-exclusive right to the DPO Operator to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit the signals of such Subscribed Channels to the Subscribers (either directly or through affiliated Cable Operators) in a securely encrypted manner during the Term (both to be done at the DPOOperator’s sole cost and expense), subject to the DPO Operator complying with all the terms and conditions as set out in this Agreement. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels through its DAS HITS Distribution Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, Cable (analogue), DTH, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future are reserved by the BroadcasterBroadcaster .

Non-Exclusive Right. The DPO Operator hereby specifically understands and acknowledges that the DPO Operator shall not have the right to upgrade the standard definition feed of the Subscribed Channels Channels/Bouquets to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels Channels/Bouquets through its DAS Distribution digital Addressable Systems. The DPO Operator further understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Operator to receive and/or retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to the DPO Operator under this Agreement, including without limitation, PPV, NVOD, SVOD, VOD, personal computer, mobile telephony, or any technology now available or which may become available in future future, are reserved by the BroadcasterGDSPL.

Non-Exclusive Right. On the basis of the representations, warranties and undertakings given by the DPOAffiliate, and subject SDSPL hereby grants non-exclusive right for the Term to the DPO paying broadcaster’s share of the Monthly MRP, the Broadcaster, hereby grants nonexclusive right to the DPO Affiliate to receive the signals of the Subscribed Channels through the Equipment directly from designated satellites and retransmit such signals through the signals of such Subscribed Channels Distribution Systems to the Subscribers in a securely encrypted manner the Areas during the Term (both to be done at the DPO’s sole cost and expense)Term, subject to the DPO Affiliate paying the Subscription Fees and complying with all the terms and conditions as set out in this Agreement. The DPO hereby specifically understands and acknowledges that the DPO shall not have the right to upgrade the standard definition feed of the Subscribed Channels to high definition feed (by using any technology now available or which may become available in future) at the time of re-transmitting the Subscribed Channels through its DAS Distribution Systems. The DPO further Affiliate understands and agrees that mere possession of the Equipment and/or access to the signals of the Channels/Subscribed Channels does not entitle the DPO Affiliate to receive and/or distribute/retransmit the signals of the Channels/Subscribed Channels and/or use the Equipment in any other manner whatsoever. All distribution rights not specifically and expressly granted to Affiliate under the DPO Agreement are reserved by SDSPL, including without limitation the Affiliate‟s right to (a) provide the signals of the Subscribed Channels beyond the Areas, (b) distribute signals of the Subscribed Channels to the Local Cable Operators or subscribers not declared in terms of Clause I(a) and Clause I(b) of Annexure E,(c) distribute the signals of the Subscribed Channels to any Commercial Subscriber, (d) make any interference and/or insertion and/or blacking out and/or de-modulation with the signals of the Subscribed Channels, and (e) distribute the signals of the Channels other than in analogue mode from the Affiliate‟s headend (It is hereby clarified that under this Agreement, including the Affiliate does not have the right to distribute the signals of the Channels via digital cable networks (with or without limitationaddressable systems), Direct-To-Home (Ku-Band or C-Band), Headend-In-The-Sky, Multipoint Microwave Distribution System/Multi-channel Multi-Point Distribution System, Digital Terrestrial Transmission, Broadband, Internet Protocol Television, Terrestrial Transmission, or any other medium or technology or device now available known and/or invented or which that may become available in future are reserved by the Broadcasterbe known and/or invented at a later date.
