Non-Binding Nature. This MOU is not intended to and does not give any person who is not a Participant to it any rights to enforce any of its provisions. Nothing in this MOU will be construed as creating a binding legal relationship between the Participants, with the exception of only Article IV herein which will survive the expiry or termination of this MOU. This MOU is a broad statement of intent which sets forth the general basis upon which the Participants wish to proceed. No legal liability will arise in respect of any subject matter hereof unless a subsequent binding agreement is negotiated, approved, executed and delivered by the Participants to this MOU.
Non-Binding Nature. 2.1 The Parties agree that this Memorandum of Understanding, continuing discussion, future exchange of information, past or future correspondence or other communications between the Parties shall not commit either Party to continue discussion or negotiation nor shall such be legally binding as an informal agreement or agreement to agree to a potential cooperative relationship. 2.2 This Memorandum of Understanding describes the intention of the Parties and is not intended to be (nor shall it be deemed to be) a legally binding contract or to have any legally binding effect on the Parties or create any legal rights or obligations, with the exception of Clauses 2 to 10 which shall be binding contractual terms between the Parties.

Except as otherwise provided in this MoU, the Parties acknowledge that this MoU is not intended to be legally binding on either of them, and is simply a statement of intent by each of them to strengthen cooperation and communication. Nothing contained in this MoU, and no action taken by or on behalf of either the IBP/GIFT or the Ministry pursuant to this MoU, is intended to create or be construed to imply any agency, partnership, joint venture or fiduciary relationship between the Parties.
