No Untrue Statements. No representation or warranty by the Purchaser in this Agreement or in any writing furnished or to be furnished pursuant hereto, contains or will contain any untrue statement of a material fact, or omits, or will omit to state any material fact required to make the statements herein or therein contained not misleading.

No Untrue Statements. The Loan Documents shall not contain any untrue or misleading statement of a material fact and shall not fail to state a material fact necessary to make the information contained therein not misleading.

No Untrue Statements. To the best of Seller's knowledge, neither this Agreement nor any written statement made, including without limitation all financial statements of the Seller or its Affiliates delivered to Buyer, or any report or other document issued or delivered or to be issued or delivered by Seller pursuant to this Agreement, or in connection with, the transactions contemplated hereby contains any untrue statement of a material fact or omits to state a material fact necessary to make the statements contained herein or therein not misleading;

No Untrue Statements. The Placement Agent shall not have discovered and disclosed to the Company on or prior to the Closing Date that the SEC Filings contains an untrue statement of a fact which, in the opinion of Placement Agent’s Counsel, is material or omits to state any fact which, in the opinion of such counsel, is material and is required to be stated therein or is necessary to make the statements therein not misleading.

No Untrue Statements. To the knowledge of Guarantor, no Transaction Document or other document, certificate or statement furnished to Buyer by or on behalf of Company or Guarantor contains any untrue statement of a material fact or omits to state a material fact necessary in order to make the statements contained herein and therein not misleading. Guarantor acknowledges that all such statements, representations and warranties shall be deemed to have been relied upon by Buyer as an inducement to purchase the Debentures.

No Untrue Statements. Neither this Contract nor any document, schedule, list, certificate, declaration under oath, or written statement now or hereafter furnished by Supplier to CPR pursuant to this Contract: (a) contains any untrue statement or untrue representation of a material fact; or, (b) omits, or will omit, a material fact necessary to make any such statement or representation therein or herein contained not misleading.

No Untrue Statements. None of this Agreement or the Loan Documents nor any other agreements, reports, schedules, certificates or instruments heretofore or simultaneously with the execution of this Agreement delivered to Lender, contains any misrepresentation or untrue statement of fact or omits to state any fact necessary to make any of such agreements, reports, schedules, certificates or instruments not misleading.
