Common use of No Service Charge Clause in Contracts

No Service Charge. No service charge shall be made for any registration of Transfer or exchange of Warrant Certificates; provided, however, the Company may require payment of a sum sufficient to cover any documentary, stamp or other tax or other charge that may be imposed in connection with any registration of Transfer or exchange of Warrant Certificates. The Warrant Agent shall promptly forward any such sum collected by it to the Company or to such Persons as the Company shall specify by written notice. For the avoidance of doubt, the Warrantholder shall be responsible for any documentary, stamp or other tax or other charge that may be imposed in connection with any Transfer, any registration of Transfer or exchange of Warrant Certificates.
