No Senior. Finance Party shall be obliged to enquire as to the use or application of amounts raised under the Senior Finance Documents.
No Senior. Finance Party is or will be deemed to be resident, domiciled or carrying on business in any Relevant Jurisdiction by reason only of the execution, performance and/or enforcement of any Finance Document.

The duties or responsibilities of any Senior Lien Collateral Agent under this Section 5.7 shall be limited solely to holding the Pledged Collateral as gratuitous bailee [(and with respect to deposit accounts, agent)] in accordance with this Section 5.7 and delivering the Pledged Collateral upon a Discharge of Senior Lien Obligations as provided in paragraph (d) below.
No Senior. Employee has given or received notice to terminate his or her employment and, so far as the Seller is aware, neither the acquisition of the Shares by the Purchaser nor compliance with the terms of this Agreement will enable any Senior Employee to terminate their employment.
