No Referrals Required. The Parties expressly acknowledge that neither Licensor nor any of its owners, directors, officers, agents, contractors, employees or representatives are required or have been encouraged to refer patients to Licensee or Sublicensee, and that any remuneration paid to Licensor hereunder is not offered, paid, solicited or received with the intent of inducing or encouraging the referral of patients or customers to Licensee or Sublicensee. The Parties further expressly agree that (a) each Service Area does not exceed that which is reasonable and necessary for the legitimate business of Sublicensee in such Service Area and (b) the fees and other remuneration paid to and received by Licensor hereunder (including, without limitation, Monthly License Payments) (i) are set in advance, (ii) are consistent with fair market value, (iii) have been negotiated as part of an arms-length transaction, (iv) do not take into account the volume or value of any referrals or other business generated between the Parties, nor do they include any additional charges attributable to the proximity or convenience of either Party to the other as a potential referral source, and (v) would be commercially reasonable even if no referrals are made between Licensee and Licensor or their respective affiliates.

Buyer shall neither have nor exercise any control or direction over the number, type, or recipient of patient referrals and nothing in this Agreement shall be construed as directing or influencing such referrals. Nothing in this Agreement is to be construed to restrict the professional judgment of the Sellers or any Clinical Provider to use or to refer a patient to any medical practice or facility where necessary or desirable in order to provide proper and EXHIBIT H appropriate treatment or care to a patient or to comply with the wishes of the patient. No part of this Agreement is intended to induce, encourage, solicit, compensate for (either directly or indirectly, on either an in-cash or in-kind basis) or reimburse for referrals of any patients or business, including any patient or business funded in whole or in part by federal or state government programs (i.e., Medicare, Medicaid, TRICARE, etc.). The Parties acknowledge and agree that nothing contained in this Agreement is conditioned on any requirement that either Party make referrals to, be in a position to make or influence referrals to, or otherwise generate business for the other Party or any of the other Party's affiliates.

It is expressly understood and agreed that while Hospital and School District may serve the medical needs of students, nothing in this Agreement shall obligate or require School District to refer School District’s students to Hospital or any facility affiliated with Hospital. Neither party will receive payment for admissions, recommendations or referrals to the other party.
