NO PREDATORY SOLICITATION. Executive agrees that he will not, directly or through instruction to a third party, on his own behalf or in the service of others, disrupt, damage, impair or interfere with the business of the Company whether by way of interfering with or raiding its officers, employees, agents, distributors and/or independent contractors or in any manner attempting to persuade any such persons to discontinue any relationship with the Company without having received the Board of Directors prior written permission to do so. NO PREDATORY SOLICITATION. During the Employment and for one (1) year following any termination of the Employment (except a termination pursuant to Paragraphs 3.3 or 3.4 hereof), the Employee will not, without having received the Company's prior written permission to do so, directly or indirectly, on his own behalf or in the service of others, solicit the employment of any of the officers, employees, consultants, agents and/or independent contractors of the Company or any other member of the InsWeb Group or in any manner attempt to persuade any such person to discontinue any relationship with such entity. The Employee and the Company acknowledge that this Paragraph 7 is reasonable and necessary for the protection of the trade secrets and proprietary information of InsWeb.
NO PREDATORY SOLICITATION. The Employee agrees that during the Employment and for one (1) year following any termination of the Employment he will not, either directly or indirectly, on his own behalf or in the service of others, disrupt, damage, impair or interfere with the business of the Company whether by way of interfering with or raiding its officers, employees, agents, and/or independent contractors or in any manner attempting to persuade any such person to discontinue any relationship with the Company, without having received the Company’s prior written permission to do so. The Employee is not, however, hereby restricted from being employed by or engaged in a competing business subsequent to any termination of the Employment, which business may compete with the Company provided that Employee does not provide such competing business, directly or indirectly, with any Confidential Information, records, customer lists, employee lists or other data of any kind constituting property of the Company which is not in the public domain.
NO PREDATORY SOLICITATION. During the Employment and for one (1) year following any termination of the Employment, provided that the Company is not then in breach of a material term of this Agreement, the Employee will not, without having received the Company's prior written permission to do so, directly or indirectly, on his own behalf or in the service of others, (i) interfere with or raid the officers, employees, consultants, agents and/or independent contractors of the Company or any other member of the Company Group or in any manner attempt to persuade any such person to discontinue any relationship with such entity, or (ii) solicit any customer or supplier of the Company or any other member of the Company Group to cease doing business with such entity. The Employee and the Company confirm that this Paragraph 7 is reasonable and necessary for the protection of the trade secrets and proprietary information of the Company Group.

The Employee and the Company confirm that this Paragraph 7 is reasonable and necessary for the protection of the trade secrets and proprietary information of the Company.
