No Pre-Delivery Right Clause Samples

The "No Pre-Delivery Right" clause establishes that the buyer or recipient does not have any rights to access, use, or take possession of goods, services, or deliverables before the agreed-upon delivery date or completion of specified conditions. In practice, this means that even if the goods are ready or available, the seller is not obligated to provide them to the buyer until all contractual requirements for delivery are met, such as payment or regulatory approvals. This clause helps prevent disputes over premature access and ensures that both parties adhere to the agreed delivery schedule, thereby protecting the seller from potential risks associated with early transfer of goods or services.
