The FBR Series Funds are not a party to or bound by any agreement, undertaking or commitment (i) to merge or consolidate with, or acquire all or substantially all of the property and assets of, any other corporation, trust or person or (ii) to sell, lease or exchange all or substantially all of their property and assets to any other corporation, trust or person.

No Pending Transaction. No Shareholder is aware of a pending or currently anticipated transaction between the Company and any third party with respect to the products and/or services of the Company.

No debt or equity financings in which the gross proceeds received by HepaLife since October 3, 2008 in the aggregate will equal or exceed Four Million Dollars ($4,000,000) is currently pending or imminent, and HepaLife has not entered into any term sheet, letter of intent, or agreement for such a financing.
