Common use of No Other Rights Clause in Contracts

No Other Rights. Except as otherwise expressly provided in this Agreement, under no circumstances shall a Party, as a result of this Agreement, obtain any ownership interest, license right or other right in any Know-How, Patent Rights or other intellectual property rights of the other Party or any of its Affiliates, including items owned, controlled, developed or acquired by the other Party or any of its Affiliates, or provided by the other Party to the first Party at any time pursuant to this Agreement.

No Other Rights. Except as otherwise expressly provided in this Agreement, under no circumstances shall a PartyParty hereto, as a result of this Agreement, obtain any ownership interest, interest or license right or other right in any technology, trade secrets, Patents, Know-How, Patent Rights How or other intellectual property rights patent applications of the other Party including without limitation any right or interest in or to any of its AffiliatesTargets, including items products, vaccines, antibodies, cell lines or cultures, or animals owned, controlled, controlled or developed or acquired by the other Party or any of its AffiliatesParty, or provided transferred by the other Party to the first such Party at any time pursuant to in accordance with the terms of this Agreement.

No Other Rights. Except as otherwise expressly provided in this Agreement, under no circumstances shall a PartyParty hereto, as a result of this Agreement, obtain any ownership interest, license right or other right in any Know-How, Patent Intellectual Property Rights or other intellectual property rights of the other Party or any of its AffiliatesParty, including items rights owned, controlled, controlled or developed or acquired by the other Party or any of its AffiliatesParty, or provided by the other Party to the first receiving Party at any time pursuant to this Agreement.

No Other Rights. Except as otherwise expressly provided in this Agreement, under no circumstances shall a Party, as a result of this Agreement, obtain any ownership interest, license right interest or other right in any Know-How, Patent Rights How or other intellectual property rights Patents of the other Party or any of its AffiliatesParty, including items owned, controlled, Controlled or developed or acquired by the other Party or any of its AffiliatesParty, or provided by the other a Party to the first receiving Party at any time pursuant to this Agreement.

Except as otherwise expressly provided in this Agreement, under no circumstances shall will a PartyParty or any of its Affiliates, as a result of this Agreement, obtain any ownership interest, license right or other right (whether by implication, estoppel or otherwise) in or to any Know-How, Patent Rights Patents or other intellectual property rights of the other Party or any of such other Party’s Affiliates. Neither Party nor any of its Affiliates, including items owned, controlled, developed Affiliates will use or acquired by the other practice any Know-How or Patents licensed or provided to such Party or any of its Affiliates, Affiliates outside the scope of or provided by otherwise not in compliance with the other rights and licenses granted to such Party to the first Party at any time pursuant to and its Affiliates under this Agreement.

Except as otherwise expressly provided set forth in this Agreement, under no circumstances shall a neither Party, as a result by virtue of this Agreement, obtain shall acquire any ownership license or other interest, license right by implication or other right otherwise, in any Know-How, Patent Rights Intellectual Property rights or other intellectual property rights of the other Party materials owned or any of its Affiliates, including items owned, controlled, developed or acquired controlled by the other Party or any of its Affiliates, or provided by the other Party to the first Party at any time pursuant to this Agreement.

No rights or any obligations not explicitly set forth in this Agreement are intended to be granted or imposed, whether by implication or otherwise, by virtue of its Affiliates, including items owned, controlled, developed this Agreement or acquired by the other Party transactions and arrangements contemplated hereby on or any in favor of its Affiliates, or provided by the other Party to the first Party at any time pursuant to this Agreementeither Party.
