No Other Consideration. Except as otherwise required by law or as specifically provided in this Section 7, all of Executive’s rights to salary, vacation, severance, fringe benefits, bonuses, and any other amounts accruing hereunder (if any) will cease upon the date of Executive’s termination .
No Other Consideration. The assignments and rights granted by Imaging US to Imaging Global in this Agreement are to facilitate, and in consideration of, the transactions contemplated by the Merger Agreement, and no other consideration shall be given by Imaging Global or received by Imaging US in connection with this Agreement or the transactions contemplated by the Merger Agreement.
No Other Consideration. Mx. Xxxxx affirms that the terms stated herein are the only consideration for signing this Agreement and that no other representations, promises, or agreements of any kind have been made by any person or entity to cause him to sign this Agreement. Mx. Xxxxx has accepted the terms of this Agreement because he believes them to be fair and reasonable and for no other reason.
No Other Consideration. Xxxxx acknowledges and agrees that no consideration other than as provided for in this Agreement has been or will be paid or furnished by any Releasee; that she will make no claim and hereby waives any right she may now have or may hereafter have, based upon any alleged oral alteration, amendment, modification or any other alleged change in this Agreement made prior to the Effective Date of the Agreement; and that she understands and has freely and voluntarily entered into and executed this Agreement.
No Other Consideration. Complainant agrees that, with the exception of the consideration specifically described in this Settlement Agreement, s/he is not entitled to any other consideration, monetary amounts, back pay, compensatory damages, interest, unpaid benefits, or any other costs or compensation in connection with (a) the resolution of the Complaint and (b) the resolution of other pending or contemplated claims dismissed, waived, withdrawn, and released in accordance with the terms of this Settlement Agreement.
No Other Consideration. No other payments shall be due or payable to Xenetic under this Agreement or the Exclusive Agreement in connection with the Sublicense.
No Other Consideration. Notwithstanding anything to the contrary in the terms of employment of the Team Members, the Team Members agree that they will not be entitled to any consideration or benefits of any nature in connection with or arising out of the commercialization of Project Technology, other than as specifically set forth in clause 4 above with respect to Inventors.
No Other Consideration. Executive agrees that Executive will not seek any payment, benefit, compensation or consideration of any kind from Company arising from Executive’s employment with the Company through the Separation Date, or any purported loan to or note obligation of the Company other than as set forth in Section 4. Except as specifically provided for in Section 4, the Executive shall not be entitled to receive any compensation or benefits of employment from the Company or any Company Affiliate following the Separation Date.
No Other Consideration. The Parties acknowledge and agree that the Purchase Price shall provide full consideration for, and otherwise cover all aspects of:
No Other Consideration. No other consideration has been or will be furnished or paid to the Employee or to his attorneys, other than as set forth in this Agreement.
