No Other Action the Seller will not knowingly take any action which may prejudice the validity or recoverability of any Purchased Receivable or which may otherwise adversely affect the benefit which the Purchaser may derive from such Purchased Receivable pursuant to this Agreement;
No Other Action. No order has been made, no petition presented, or resolution passed for the winding-up of Seller, or the appointment of any trustee for the benefit of creditors or the preparation or commencement of any bankruptcy or insolvency proceeding.
No Other Action. The Service Provider hereby agrees that Verra shall not be under any obligation, pursuant to the terms of this Agreement or otherwise, to take action of whatsoever nature against any third party.
No Other Action. The GCC Verifier hereby agrees that the GCC shall not be under any obligation, pursuant to the terms of this Agreement or otherwise, to take action of whatsoever nature against any third party.
No Other Action. No action by, or in respect of, or filing with, any Governmental Authority is required for the execution, delivery and performance of this Agreement by the Investor.

No action by, or in respect of, or filing with, any Governmental Authority is required for the execution, delivery and performance of this Agreement by the Company and acquisition of the Shares, except for the Form D filing pursuant to Rule 506 of Regulation D of the Securities Act and any notice filings required by the laws of any U.S. state or any political subdivision thereof.
No Other Action. The Service Provider hereby agrees that Social Carbon Foundation shall not be under any obligation, pursuant to the terms of this Agreement or otherwise, to take action of whatsoever nature against any third party.
No Other Action. Save as set out in this clause 12, the Seller shall take no other action in relation to the Debts otherwise than with the prior written consent of the Purchaser.

The Security Trustee shall not be required to take any action or exercise any rights, remedies, powers or discretions under or in connection with this Deed beyond those which the Senior Agent or, subject to the terms hereof, the Mezzanine Agent (acting reasonably) shall specifically instruct the Security Trustee in writing to take or exercise and then only to the extent stated in the Senior Agent's or, as the case may be, the Mezzanine Agent's specific instructions in writing.
No Other Action. The UCR Verifier hereby agrees that the UCR shall not be under any obligation, pursuant to the terms of this Agreement or otherwise, to take action of whatsoever nature against any third party.
